The firm applied for registration under s. 26A of D the Income-Tax Act, 1922 .. The Income.tax Officer, the Appellate Assis-tant Commissioner and the Tribunal were of the opinion that some part-m:rs of the firrn having entered into the partnership as representatives of their respective Hindu undivided families, in view of secti<>n 4(3) of the C<>mpanies Act, 1913, the adult members of these families should be taken into consideration for determining whether or not the total number of partners exceeded twenty. On that basis they arrived at the conclusion that the firm had more than 20 partners and the same havir..g not been E registered as a company under the Companies Act, the partnership was un-lawful. The High Court answered a reference made t<> it in favour of the revenue. In the appeal to this Court it was contended; (i) Section 4(:1) of the Companies Act. 1913 proceeded on the erroneous impression thi.t a joint Hindu Family can enter into a partnership which in law it cannot as it has no legal personality; (ii) it was not open to the Income Tax Officc.r to go behind the deed for the purpose of registration under F s. 26A and (iii) if the application for registration complied with the re·· quirements of that section and the rules made thereunder, it was not open t<> the Income Tax Officer to refuse to register. HELD: (i) It is only partnership constituted according t<> the pro· visions of the partnership Act that can be considered as partnership under the Act. Under the Partnership Act only "persons" can join as partners. An association of persons is not a person within the-G meaning of that expression in the Partnership Act. The definition of •·per.son" in the Income Tax Act· includJng within the definition Hindu Undivided Family is intended for levying income.tax and other cognate· matters and cannot be imported into· the Partnership Act, the provisions. of which alone are relevant for finding as to who could join as partners. A Hindu undivided family cannot as such enter into a contact of Part-nership with another person or persons. The concept of a Hindu un-divided family joining a partnership presents considerable difficulty. It' H is a fleeting body and such a partnership is likely to have a precarious. existence. Therefore, the assumption in s. 4(3) of the Cod\panies Act, 1913, that a .Hindu Joint Family can be a partner in a partnership appear$ to be based on an erroneous view of the law. [241 H, 242 G·H]

ਇੱਕ ਫਰਮ ਿਵੱਚ 18 ਭਾਈਵਾਲ ਸਨ। ਭਾਈਵਾਲੀ ਡੀਡ ਿਵੱਚ ਇਹ ਨਹa ਿਦਖਾਇਆ ਿਗਆ ਿਕ ਕੋਈ ਵੀ ਭਾਈਵਾਲ ਆਪਣੇ ਿਹੰਦੂ ਅਣਵੰਡੇ ਪਿਰਵਾਰQ ਦੇ ਪ:ਤੀਿਨਧ ਵਜd ਡੀਡ ਿਵੱਚ 7ਾਮਲ ਹੋਇਆ ਹੈ। ਫਰਮ ਨe ਐJਸ ਤਿਹਤ ਰਿਜਸਟ:ੇ7ਨ ਲਈ ਅਰਜ਼ੀ ਿਦੱਤੀ ਸੀ। ਇਨਕਮ-ਟੈਕਸ ਐਕਟ, 1922 ਦਾ 26ਏ. ਇਨਕਮ-ਟੈਕਸ ਅਫਸਰ, ਅਪੀਲੀ ਅਿਸਸਟ-ਟgਟ ਕਿਮ7ਨਰ ਅਤੇ ਿਟ:ਿਬਊਨਲ ਦਾ ਿਵਚਾਰ ਸੀ ਿਕ ਫਰਮ ਦੇ ਕੁਝ ਿਹੱਸੇਦਾਰQ ਨe ਆਪਣੇ ਸਬੰਧਤ ਿਹੰਦੂ ਅਣਵੰਡੇ ਪਿਰਵਾਰQ ਦੇ ਨੁਮਾਇੰਿਦਆਂ ਵਜd ਭਾਈਵਾਲੀ ਿਵੱਚ ਪ:ਵੇ7 ਕੀਤਾ ਹੈ, ਕੰਪਨੀ ਐਕਟ ਦੀ ਧਾਰਾ 4(3) ਦੇ ਮੱਦੇਨਜ਼ਰ, ਇਹਨQ ਪਿਰਵਾਰQ ਦੇ ਮgਬਰQ ਨੂੰ ਬਾਲਗ ਮੰਿਨਆ ਜਾਣਾ ਚਾਹੀਦਾ ਹੈ ਜQ ਨਹa। ਭਾਈਵਾਲQ ਦੀ ਕੁੱਲ ਿਗਣਤੀ ਵੀਹ ਤd ਵੱਧ ਨਹa ਹੈ। ਇਸ ਆਧਾਰ 'ਤੇ ਉਹ ਇਸ ਿਸੱਟੇ 'ਤੇ ਪਹੁੰਚੇ ਿਕ ਫਰਮ ਦੇ 20 ਤd ਵੱਧ ਭਾਈਵਾਲ ਸਨ ਅਤੇ ਉਹ ਕੰਪਨੀ ਐਕਟ ਅਧੀਨ ਕੰਪਨੀ ਵਜd ਰਿਜਸਟਰਡ ਨਾ ਹੋਣ ਕਾਰਨ ਇਹ ਭਾਈਵਾਲੀ ਗੈਰ-ਕਾਨੂੰਨੀ ਸੀ। ਹਾਈ ਕੋਰਟ ਨe ਮਾਲੀਆ ਦੇ ਪੱਖ ਿਵੱਚ ਇਸ ਦੇ ਹਵਾਲੇ ਨਾਲ ਜਵਾਬ ਿਦੱਤਾ। ਇਸ ਅਦਾਲਤ ਨੂੰ ਅਪੀਲ ਿਵੱਚ ਇਹ ਦਲੀਲ ਿਦੱਤੀ ਗਈ ਸੀ; (i) ਕੰਪਨੀਜ਼ ਐਕਟ, 1913 ਦੀ ਧਾਰਾ 4(3) ਇਸ ਗਲਤ ਪ:ਭਾਵ 'ਤੇ ਅੱਗੇ ਵਧਦੀ ਹੈ ਿਕ ਇੱਕ ਸੰਯੁਕਤ ਿਹੰਦੂ ਪਿਰਵਾਰ ਇੱਕ ਭਾਈਵਾਲੀ ਿਵੱਚ ਦਾਖਲ ਹੋ ਸਕਦਾ ਹੈ ਜੋ ਕਾਨੂੰਨ ਿਵੱਚ ਇਹ ਨਹa ਕਰ ਸਕਦਾ ਿਕnਿਕ ਇਸਦਾ ਕੋਈ ਕਾਨੂੰਨੀ 7ਖਸੀਅਤ ਨਹa ਹੈ; (ii) ਇਨਕਮ ਟੈਕਸ ਅਫਸਰ ਨੂੰ ਐਸ ਦੇ ਤਿਹਤ ਰਿਜਸਟਰੇ7ਨ ਦੇ ਉਦੇ7 ਲਈ ਡੀਡ ਦੇ ਿਪੱਛੇ ਜਾਣ ਲਈ ਖੁੱਲpਾ ਨਹa ਸੀ। 26ਏ ਅਤੇ (iii) ਜੇਕਰ ਰਿਜਸਟ:ੇ7ਨ ਲਈ ਿਬਨq -ਪੱਤਰ ਉਸ ਸੈਕ7ਨ ਦੀਆਂ ਮੁੜ-7ਰਤQ ਅਤੇ ਇਸ ਦੇ ਅਧੀਨ ਬਣਾਏ ਿਨਯਮQ ਦੀ ਪਾਲਣਾ ਕਰਦਾ ਹੈ, ਤQ ਆਮਦਨ ਕਰ ਅਿਧਕਾਰੀ ਨੂੰ ਰਿਜਸਟਰ ਕਰਨ ਤd ਇਨਕਾਰ ਕਰਨ ਲਈ ਇਹ ਖੁੱਲpਾ ਨਹa ਸੀ। ਅਪੀਲ ਦੀ ਮਨਜ਼ੂਰੀ ਿਦੰਦੇ ਹੋਏ ਸ.
ਹੋਲਡ: (i) ਇਹ ਿਸਰਫ ਪੱਖੀ ਦੇ ਅਨੁਸਾਰ ਗਿਠਤ ਭਾਈਵਾਲੀ ਹੈ ਭਾਈਵਾਲੀ ਐਕਟ ਦੇ ਿਦ:7ਟੀਕੋਣ ਿਜਨp Q ਨੂੰ ਐਕਟ ਦੇ ਅਧੀਨ ਭਾਈਵਾਲੀ ਮੰਿਨਆ ਜਾ ਸਕਦਾ ਹੈ। ਪਾਰਟਨਰਿ7ਪ ਐਕਟ ਦੇ ਤਿਹਤ ਿਸਰਫ਼ "ਿਵਅਕਤੀ" ਹੀ ਭਾਗੀਦਾਰQ ਵਜd 7ਾਮਲ ਹੋ ਸਕਦੇ ਹਨ। ਪਾਰਟਨਰਿ7ਪ ਐਕਟ ਿਵੱਚ ਉਸ ਸਮੀਕਰਨ ਦੇ ਅਰਥQ ਿਵੱਚ ਿਵਅਕਤੀਆਂ ਦੀ ਇੱਕ ਐਸੋਸੀਏ7ਨ ਇੱਕ ਿਵਅਕਤੀ ਨਹa ਹੈ। ਇਨਕਮ ਟੈਕਸ ਐਕਟ ਿਵੱਚ "ਿਵਅਕਤੀ" ਦੀ ਪਿਰਭਾ7ਾ ਿਹੰਦੂ ਅਣਵੰਡੇ ਪਿਰਵਾਰ ਦੀ ਪਿਰਭਾ7ਾ ਦੇ ਅੰਦਰ 7ਾਮਲ ਹੈ, ਆਮਦਨ ਕਰ ਅਤੇ ਹੋਰ ਸੰਜੀਦਾ ਮਾਮਿਲਆਂ ਨੂੰ ਲਗਾਉਣ ਲਈ ਹੈ ਅਤੇ ਇਸਨੂੰ ਪਾਰਟਨਰਿ7ਪ ਐਕਟ ਿਵੱਚ ਆਯਾਤ ਨਹa ਕੀਤਾ ਜਾ ਸਕਦਾ ਹੈ, ਿਜਸ ਦੇ ਉਪਬੰਧ ਿਸਰਫ਼ ਇਹ ਪਤਾ ਲਗਾਉਣ ਲਈ ਢੁਕਵw ਹਨ ਿਕ ਕੌਣ ਭਾਈਵਾਲ ਵਜd 7ਾਮਲ ਹੋ ਸਕਦਾ ਹੈ। ਇੱਕ ਿਹੰਦੂ ਅਣਵੰਿਡਆ ਪਿਰਵਾਰ ਇਸ ਤਰpQ ਿਕਸੇ ਹੋਰ ਿਵਅਕਤੀ ਜQ ਿਵਅਕਤੀਆਂ ਨਾਲ ਭਾਈਵਾਲੀ ਦੇ ਸੰਪਰਕ ਿਵੱਚ ਨਹa ਆ ਸਕਦਾ। ਸQਝੇਦਾਰੀ ਿਵੱਚ 7ਾਮਲ ਹੋਣ ਵਾਲੇ ਿਹੰਦੂ ਅਣ-ਵੰਡੇ ਪਿਰਵਾਰ ਦੀ ਧਾਰਨਾ ਕਾਫ਼ੀ ਮੁ7ਕਲ ਪੇ7 ਕਰਦੀ ਹੈ। ਇਹ ਇੱਕ ਅਸਥਾਈ ਸੰਸਥਾ ਹੈ ਅਤੇ ਅਿਜਹੀ ਸQਝੇਦਾਰੀ ਦੀ ਇੱਕ ਨਾਜ਼ੁਕ ਹdਦ ਹੋਣ ਦੀ ਸੰਭਾਵਨਾ ਹੈ। ਇਸ ਲਈ, ਐਸ ਿਵੱਚ ਧਾਰਨਾ. ਕੰਪਨੀਜ਼ ਐਕਟ, 1913 ਦੀ ਧਾਰਾ 4(3), ਿਕ ਇੱਕ ਿਹੰਦੂ ਸੰਯੁਕਤ ਪਿਰਵਾਰ ਭਾਈਵਾਲੀ ਿਵੱਚ ਭਾਈਵਾਲ ਹੋ ਸਕਦਾ ਹੈ, ਕਾਨੂੰਨ ਦੇ ਇੱਕ ਗਲਤ ਨਜ਼ਰੀਏ 'ਤੇ ਅਧਾਰਤ ਪ:ਤੀਤ ਹੁੰਦਾ ਹੈ। [241 ਐਚ, 242 ਜੀ-ਐਚ]

Hegde ~.-In these appeals by certificate the question that falls for decision is whether on the facts and in the circumstances of the case registration under s. 26 (A) of the Indian lncom~ Tax Act, 1922 (to be hereinafter referred to as the act) was nght~y refused to the appellant finn on the ground that the partnership 8 in question violated the provisions of s. 4 of the lndian Companies Act, 1913.
The authorities under the Act as well as the High Court of Allahabad have answered that question in the affirmative. The assessee challenges that conclusion.
The above appeals relate to differe.nt assessment years of the same assessee, the relevant assessment years being 1952-53, 1953-54 and 1954-55. In all these years the Income Tax Officer had refused to register the appellant finn under s. 26A.

ਸਾਨੂੰ ਦੱਿਸਆ ਿਗਆ ਹੈ ਿਕ ਸਾਰੇ ਸQਝੇਦਾਰੀ ਦੇ ਕੰਮ 7ਰਤQ ਿਵੱਚ ਸਮਾਨ ਹਨ। ਸਾਡੇ ਸਾਹਮਣੇ 7 ਜੁਲਾਈ, 1950 ਨੂੰ ਕੀਤੀ ਗਈ ਡੀਡ ਹੈ। ਇਹ ਦਰਸਾnਦਾ ਹੈ ਿਕ ਫਰਮ ਿਵੱਚ 18 ਭਾਈਵਾਲ ਹਨ। ਪੂਰਵ ਿਦ:7ਟੀਕੋਣ ਤd ਉਹ ਡੀਡ ਇਹ ਨਹa ਦਰਸਾnਦਾ ਹੈ ਿਕ ਕੋਈ ਵੀ ਭਾਈਵਾਲ ਆਪਣੇ ਿਹੰਦੂ ਅਣਵੰਡੇ ਪਿਰਵਾਰQ ਦੇ ਪ:ਤੀਿਨਧ ਵਜd ਡੀਡ ਿਵੱਚ 7ਾਮਲ ਹੋਇਆ ਸੀ। ਦਸਤਾਵੇਜ਼ ਦੀ ਿਮਆਦ ਤd, ਉਹ ਆਪਣੇ ਆਪ ਿਵਚ ਿਹੱਸੇਦਾਰ ਜਾਪਦੇ ਹਨ. ਇਨਕਮ ਟੈਕਸ ਅਫਸਰ, ਅਪੀਲੀ ਸਹਾਇਕ ਕਿਮ7ਨਰ ਅਤੇ ਿਟ:ਿਬਊਨਲ ਇਸ ਿਸੱਟੇ 'ਤੇ ਪਹੁੰਚੇ ਹਨ ਿਕ ਉਨp Q ਿਵਚd ਕੁਝ ਆਪਣੇ-ਆਪਣੇ ਿਹੰਦੂ ਅਣਵੰਡੇ ਪਿਰਵਾਰ-ਝੂਠ ਦੇ ਕਰਤਾ ਵਜd ਭਾਈਵਾਲੀ ਿਵਚ 7ਾਮਲ ਹੋਏ ਸਨ। ਐਕਟ ਅਧੀਨ ਸਾਰੀਆਂ ਅਥਾਰਟੀਆਂ ਦੇ ਨਾਲ-ਨਾਲ ਹਾਈਕੋਰਟ ਨe ਰਾਏ ਿਦੱਤੀ ਹੈ ਿਕ ਐਸ ਦੇ ਮੱਦੇਨਜ਼ਰ ਿਵਵਾਿਦਤ ਭਾਈਵਾਲੀ ਜਾਇਜ਼ ਨਹa ਹੈ। ਇੰਡੀਅਨ ਕੰਪਨੀਜ਼ ਐਕਟ, 1913 ਦਾ 4(3)। ਉਸ ਿਵਵਸਥਾ ਦਾ ਭੌਿਤਕ ਿਹੱਸਾ ਪੜpਦਾ ਹੈ:

(2) ਵੀਹ ਤd ਵੱਧ ਿਵਅਕਤੀਆਂ ਵਾਲੀ ਕੋਈ ਵੀ ਕੰਪਨੀ, ਐਸੋਸੀਏ7ਨ ਜQ ਭਾਈਵਾਲੀ ਿਕਸੇ ਹੋਰ ਕਾਰੋਬਾਰ ਨੂੰ ਚਲਾਉਣ ਦੇ ਉਦੇ7 ਲਈ ਨਹa ਬਣਾਈ ਜਾ ਸਕਦੀ ਹੈ ਿਜਸ ਦੇ ਉਦੇ7 ਲਈ ਕੰਪਨੀ, ਐਸੋਸੀਏ7ਨ ਜQ ਭਾਈਵਾਲੀ ਜQ ਇਸਦੇ ਿਵਅਕਤੀਗਤ ਮgਬਰQ ਦੁਆਰਾ ਲਾਭ ਪ:ਾਪਤ ਕਰਨਾ ਹੈ, ਜਦd ਤੱਕ ਇਹ ਇਸ ਐਕਟ ਦੇ ਅਧੀਨ ਕੰਪਨੀ ਵਜd ਰਿਜਸਟਰਡ ਨਹa ਹੈ, ਜQ ਸੰਯੁਕਤ ਰਾਜ ਦੇ ਿਕਸੇ ਕਾਨੂੰਨ ਜQ ਸੰਯੁਕਤ ਰਾਜ ਸੰਸਦ ਦੇ ਿਕਸੇ ਹੋਰ ਕਾਨੂੰਨ ਜQ ਲੈਟਰ ਆਫ਼ ਇੰਡੀਅਨ ਿਕੰਗ ਜQ ਲੈਟਰ ਦੀ ਪਾਲਣਾ ਿਵੱਚ ਬਣਾਈ ਗਈ ਹੈ। ਪੇਟgਟ.
(3) ਇਹ ਧਾਰਾ ਸੰਯੁਕਤ ਪਿਰਵਾਰਕ ਵਪਾਰ ਜQ ਕਾਰੋਬਾਰ ਕਰਨ ਵਾਲੇ ਸੰਯੁਕਤ ਪਿਰਵਾਰ 'ਤੇ ਲਾਗੂ ਨਹa ਹੋਵੇਗੀ ਅਤੇ ਿਜੱਥੇ ਦੋ ਜQ ਦੋ ਤd ਵੱਧ ਅਿਜਹੇ ਸੰਯੁਕਤ ਪਿਰਵਾਰ ਸQਝੇਦਾਰੀ ਬਣਾnਦੇ ਹਨ, ਇਸ ਧਾਰਾ ਦੇ ਉਦੇ7
ਲਈ ਿਵਅਕਤੀਆਂ ਦੀ ਿਗਣਤੀ ਦੀ ਗਣਨਾ ਕਰਦੇ ਹੋਏ, ਅਿਜਹੇ ਪਿਰਵਾਰQ ਦੇ ਨਾਬਾਲਗ ਮgਬਰQ ਨੂੰ 7ਾਮਲ ਨਹa ਕੀਤਾ ਜਾਵੇਗਾ।
(4) ਇਸ ਧਾਰਾ ਦੀ ਉਲੰਘਣਾ ਕਰਦੇ ਹੋਏ ਕਾਰੋਬਾਰ ਕਰਨ ਵਾਲੀ ਿਕਸੇ ਕੰਪਨੀ, ਐਸੋਸੀਏ7ਨ ਜQ ਭਾਈਵਾਲੀ ਦਾ ਹਰ ਮgਬਰ ਅਿਜਹੇ ਕਾਰੋਬਾਰ ਿਵੱਚ ਹੋਣ ਵਾਲੀਆਂ ਸਾਰੀਆਂ ਦੇਣਦਾਰੀਆਂ ਲਈ ਿਨJਜੀ ਤੌਰ 'ਤੇ ਜਵਾਬਦੇਹ ਹੋਵੇਗਾ।

The authorities under the Act as well as the High Court of Allahabad have answered that question in the affirmative. The assessee challenges that conclusion.
The above appeals relate to differe.nt assessment years of the same assessee, the relevant assessment years being 1952-53, 1953-54 and 1954-55. In all these years the Income Tax Officer had refused to register the appellant finn under s. 26A.

· All the partnership deeds are, we are told, similar in terms. v We have before us the deed executed on July 7, 1950. It shows that the firm consists of 18 partners. Ex facie that deed does not show that any of the partners 1iad joined the deed as representatives of their Hindu Undivided Families. From the tenor of the docu-ment, they appear to be partners in their own right. The Income Tax Officer, the Appellate Assistant Commissioner and the Tribunal have come to the conclusion that some of them had joined the E partnership as Kartas of their respective Hindu Undivided Fami-lies. All the authorities under the Act as well as the High Court have opined that the partnership in questioo is not lawful in view of s. 4(3) of the Indian Companies Act, 1913. The .material portion of that provision reads :

"(4). (1) ....
(2) No company, association or partnership consis-ting of more than twenty persons shall be formed for the purpose of carrying on any other business that has for its object the acquisition of gain by the company, association or partnership pr by the individual members G thereof, unless it is registered as a company under this Act, or is formed in pursuance of an Act of Parliament of the United Kingdom or some other Indian law or Royal Charter or Letters Patent. ·
( 3) This section shall not apply to a joint family carrying on joint family trade or business and where H. two or .more such joint families form a partnership, in computmg the number of persons for the purpose of this section, minor members of such families shall be ex-cluded.
( 4) Every member of a company, association or
partnership carrying on business in contravention of this section shal! be persoinally liable for all liabilities incurr-ed in such business.

The Income Tax Officer, the Appellate A8sistant Commis-_sioner as well as the Tribunal were of the opinion that some partners of the assessee firm having entered into the partnership as repre-sentatives of their respective Hindu Undivided Families, the adult members of those families should be taken iirito consideration for determining whether or not the total number of partners exceeded twenty. On that basis they have arrived at the conclusion that the firm has more than twenty partners and the same having not been registered as a company mnder the Companies Act, nor hav- · ing formed in pursuance of an Act of Parliament of the United Kingdom or some other Indian law or Royal Charter or Letters Patent, it must be held to be an unlawful partnership. When the question formulated earlier was referred to the High Court under s. 66(1) of the Act, it was heard by Jagdish Sah/ai and Beg, JJ, Jagdish Sahai J. was of the opinion that the partnership in question was not lawful. Beg J. differed from him and answered the ques-tion in favour of the assessee. In view of this difference of · opinion, the matter was referred to Takru J. He agreed with Jagdish Sahai J. By a majority the question referred to the High Court was answered in favour of the revenue. Hence these appeals.

ਇਨਕਮ ਟੈਕਸ ਅਫਸਰ, ਅਪੀਲੀ ਸਹਾਇਕ ਕਿਮ7ਨਰ ਅਤੇ ਿਟ:ਿਬਊਨਲ ਦਾ ਿਵਚਾਰ ਸੀ ਿਕ ਮੁਲQਕਣ ਫਰਮ ਦੇ ਕੁਝ ਭਾਈਵਾਲQ ਨe ਆਪਣੇ ਸਬੰਧਤ ਿਹੰਦੂ ਅਣਵੰਡੇ ਪਿਰਵਾਰQ ਦੇ ਪ:ਤੀਿਨਧ ਵਜd ਭਾਈਵਾਲੀ ਿਵੱਚ ਦਾਖਲਾ ਿਲਆ ਹੈ, ਉਹਨQ ਪਿਰਵਾਰQ ਦੇ ਬਾਲਗ ਮgਬਰQ ਨੂੰ ਇਹ ਿਨਰਧਾਰਤ ਕਰਨ ਲਈ ਿਧਆਨ ਿਵੱਚ ਰੱਿਖਆ ਜਾਣਾ ਚਾਹੀਦਾ ਹੈ ਿਕ ਭਾਈਵਾਲQ ਦੀ ਕੁੱਲ ਸੰਿਖਆ ਵੱਧ ਗਈ ਹੈ ਜQ ਨਹa। ਇਸ ਆਧਾਰ 'ਤੇ ਉਹ ਇਸ ਿਸੱਟੇ 'ਤੇ ਪਹੁੰਚੇ ਹਨ ਿਕ ਫਰਮ ਦੇ ਵੀਹ ਤd ਵੱਧ ਭਾਈਵਾਲ ਹਨ ਅਤੇ ਉਹ ਕੰਪਨੀ ਐਕਟ ਅਧੀਨ ਕੰਪਨੀ ਵਜd ਰਿਜਸਟਰਡ ਨਹa ਹਨ, ਨਾ ਹੀ ਯੂਨਾਈਿਟਡ ਿਕੰਗਡਮ ਦੀ ਪਾਰਲੀਮgਟ ਦੇ ਿਕਸੇ ਐਕਟ ਜQ ਿਕਸੇ ਹੋਰ ਭਾਰਤੀ ਕਾਨੂੰਨ ਜQ ਰਾਇਲ ਚਾਰਟਰ ਜQ ਲੈਟਰਸ ਪੇਟgਟ ਦੇ ਤਿਹਤ ਬਣਾਈ ਗਈ ਹੈ, ਇਸ ਨੂੰ ਗੈਰਕਾਨੂੰਨੀ ਭਾਈਵਾਲੀ ਮੰਿਨਆ ਜਾਣਾ ਚਾਹੀਦਾ ਹੈ। ਜਦd ਪਿਹਲQ ਿਤਆਰ ਕੀਤੇ ਗਏ ਸਵਾਲ ਨੂੰ ਐJਸ ਦੇ ਤਿਹਤ ਹਾਈ ਕੋਰਟ ਨੂੰ ਭੇਿਜਆ ਿਗਆ ਸੀ। ਐਕਟ ਦੀ 66(1) ਦੀ ਸੁਣਵਾਈ ਕਰਿਦਆਂ ਜਗਦੀ7 ਸਹਾਏ ਅਤੇ ਬੇਗ, ਜੇ.ਜੇ. ਜਗਦੀ7 ਸਹਾਏ ਜੇ ਦਾ ਿਵਚਾਰ ਸੀ ਿਕ ਿਵਵਾਿਦਤ ਭਾਈਵਾਲੀ ਜਾਇਜ਼ ਨਹa ਸੀ। ਬੇਗ ਜੇ ਉਸ ਤd ਵੱਖਰਾ ਸੀ ਅਤੇ ਮੁਲQਕਣ ਦੇ ਹੱਕ ਿਵੱਚ ਸਵਾਲ ਦਾ ਜਵਾਬ ਿਦੱਤਾ। ਇਸ ਮੱਤਭੇਦ ਦੇ ਮੱਦੇਨਜ਼ਰ ਮਾਮਲਾ ਟਾਕਰੂ ਜੇ ਨੂੰ ਭੇਿਜਆ ਿਗਆ। ਉਨp Q ਨe ਜਗਦੀ7 ਸਹਾਏ ਜੇ ਨਾਲ ਸਿਹਮਤੀ ਜਤਾਈ। ਬਹੁਮਤ ਨਾਲ ਹਾਈ ਕੋਰਟ ਨੂੰ ਭੇਜੇ ਗਏ ਸਵਾਲ ਦਾ ਜਵਾਬ ਮਾਲ ਦੇ ਹੱਕ ਿਵੱਚ ਿਦੱਤਾ ਿਗਆ। ਇਹਨQ ਅਪੀਲQ ਨੂੰ ਸੁਣੋ।
ਮੁਲQਕਣਕਰਤਾ ਦੀ ਤਰਫd ਪੇ7 ਹੋਏ ਸ:ੀ ਚਾਗਲਾ ਨe ਤਾਕੀਦ ਕੀਤੀ ਿਕ ਕੋਈ ਵੀ ਿਹੰਦੂ ਸੰਯੁਕਤ ਪਿਰਵਾਰ ਭਾਈਵਾਲੀ ਿਵਚ 7ਾਮਲ ਨਹa ਹੋ ਸਕਦਾ ਅਤੇ ਹੁਣ ਇਹ ਚੰਗੀ ਤਰpQ ਤੈਅ ਹੋ ਿਗਆ ਹੈ ਿਕ ਜਦd ਿਹੰਦੂ ਅਣਵੰਡੇ ਪਿਰਵਾਰ ਦਾ ਕੋਈ ਕਰਤਾ ਭਾਈਵਾਲ ਵਜd ਿਕਸੇ ਫਰਮ ਿਵਚ 7ਾਮਲ ਹੁੰਦਾ ਹੈ ਭਾਵw ਉਹ ਪਿਰਵਾਰਕ ਫੰਡQ ਿਵਚd ਆਪਣਾ ਿਹੱਸਾ ਪਾnਦਾ ਹੈ, ਉਸ ਦੇ ਪਿਰਵਾਰ ਦੇ ਬਾਕੀ ਮgਬਰ ਉਸ ਫਰਮ ਦੇ ਿਹੱਸੇਦਾਰ ਨਹa ਬਣਦੇ। ਿਜੱਥd ਤੱਕ ਸQਝੇਦਾਰੀ ਦਾ ਸਬੰਧ ਹੈ, ਉਹ ਇਕਲੌਤਾ ਭਾਈਵਾਲ ਹੈ ਹਾਲQਿਕ ਉਹ ਆਪਣੇ ਪਿਰਵਾਰ ਦੇ ਮgਬਰQ ਨੂੰ ਕਮਾਏ ਮੁਨਾਫੇ ਦੇ ਸਬੰਧ ਿਵੱਚ ਜਵਾਬਦੇਹ ਹੋ ਸਕਦਾ ਹੈ। ਿਵਦਵਾਨ ਵਕੀਲ ਦੇ ਅਨੁਸਾਰ, ਭਾਈਵਾਲQ ਦੇ ਅਿਧਕਾਰQ ਅਤੇ ਦੇਣਦਾਰੀਆਂ ਨੂੰ ਆਪਸ ਿਵੱਚ ਕੰਮ ਕਰਨ ਦੇ ਉਦੇ7 ਲਈ ਭਾਈਵਾਲੀ ਡੀਡ ਦੇ ਿਪੱਛੇ ਨਹa ਜਾ ਸਕਦਾ। ਅੱਗੇ ਵਧਦੇ ਹੋਏ ਉਨp Q ਨe ਤਾਕੀਦ ਕੀਤੀ ਿਕ ਇਸ ਗੱਲ 'ਤੇ ਿਵਚਾਰ ਕਰਦੇ ਹੋਏ ਿਕ ਕੀ ਐਸ ਅਧੀਨ ਭਾਈਵਾਲੀ ਰਿਜਸਟਰ ਕੀਤੀ ਜਾਣੀ ਚਾਹੀਦੀ ਹੈ। 26ਏ ਜQ ਨਹa, ਇਨਕਮ-ਟੈਕਸ ਅਫਸਰ ਨe ਿਸਰਫ਼ ਇਹ ਦੇਖਣਾ ਹੈ ਿਕ ਕੀ ਐJਸ. ਐਕਟ ਦੇ 26ਏ ਅਤੇ ਸੰਬੰਿਧਤ ਿਨਯਮQ ਦੀ ਪਾਲਣਾ ਕੀਤੀ ਜQਦੀ ਹੈ ਜQ ਨਹa। ਉਹ ਇਸ ਸਵਾਲ ਦੀ ਜQਚ ਕਰਨ
ਦਾ ਹੱਕਦਾਰ ਨਹa ਹੈ ਿਕ ਭਾਈਵਾਲੀ ਿਵੱਚ ਲਾਭਦਾਇਕ ਕੌਣ ਹਨ। ਉਨp Q ਅਨੁਸਾਰ ਜੇਕਰ ਐJਸ. 26ਏ ਅਤੇ ਸੰਬੰਿਧਤ ਿਨਯਮQ ਦੀ ਪਾਲਣਾ ਕੀਤੀ ਜQਦੀ ਹੈ, ਆਮਦਨ ਕਰ ਅਿਧਕਾਰੀ ਭਾਈਵਾਲੀ ਨੂੰ ਰਿਜਸਟਰ ਕਰਨ ਲਈ ਪਾਬੰਦ ਹੈ। ਵਕੀਲ ਨe ਅਪੀਲ ਕੀਤੀ ਿਕ ਦੂਸਰਾ ਅੰਗ ਐJਸ. ਇੰਡੀਅਨ ਕੰਪਨੀਜ਼ ਐਕਟ, 1913 ਦਾ 4(3) ਇਸ ਗਲਤ ਪ:ਭਾਵ 'ਤੇ ਅੱਗੇ ਵਧਦਾ ਹੈ ਿਕ ਇੱਕ ਸੰਯੁਕਤ ਿਹੰਦੂ ਪਿਰਵਾਰ ਇੱਕ ਭਾਈਵਾਲੀ ਿਵੱਚ ਦਾਖਲ ਹੋ ਸਕਦਾ ਹੈ, ਜੋ ਿਕ ਕਾਨੂੰਨ ਿਵੱਚ ਇਹ ਨਹa ਕਰ ਸਕਦਾ ਿਕnਿਕ ਇਸਦਾ ਕੋਈ ਕਾਨੂੰਨੀ 7ਖਸੀਅਤ ਨਹa ਹੈ।
ਸ:ੀ ਬੀ. ਸੇਨ, ਿਵਭਾਗ ਦੇ ਿਵਦਵਾਨ ਵਕੀਲ ਨe ਇਸ ਸਿਥਤੀ ਦਾ ਿਵਰੋਧ ਨਹa ਕੀਤਾ ਿਕ ਜਦd ਕੋਈ ਕਰਤਾ ਜQ ਿਹੰਦੂ ਸੰਯੁਕਤ ਪਿਰਵਾਰ ਦਾ ਮgਬਰ ਭਾਈਵਾਲੀ ਿਵੱਚ 7ਾਮਲ ਹੁੰਦਾ ਹੈ ਤQ ਉਸਦੇ ਪਿਰਵਾਰ ਦੇ ਦੂਜੇ ਮgਬਰ ਆਪਣੇ ਆਪ ਿਵੱਚ ਿਹੱਸੇਦਾਰ ਨਹa ਬਣਦੇ। ਪਰ ਉਸਦੇ ਅਨੁਸਾਰ ਿਵਭਾਗ ਲਈ ਇਹ ਖੁੱਲpਾ ਹੈ ਿਕ ਉਹ ਸQਝੇਦਾਰੀ ਡੀਡ ਦੇ ਿਪੱਛੇ ਜਾ ਕੇ ਇਹ ਪਤਾ ਲਗਾਵੇ ਿਕ ਜੋ ਿਵਅਕਤੀ ਭਾਈਵਾਲ ਵਜd 7ਾਮਲ ਹੋਇਆ ਹੈ, ਉਹ ਆਪਣੇ ਤੌਰ 'ਤੇ 7ਾਮਲ ਹੋਇਆ ਹੈ ਜQ ਿਕਸੇ ਹੋਰ ਸੰਸਥਾ ਦੇ ਪ:ਤੀਿਨਧੀ ਵਜd। ਉਨp Q ਦੀ ਦਲੀਲ ਸੀ ਿਕ ਇਸ ਦੇ ਮੱਦੇਨਜ਼ਰ ਐJਸ. ਇੰਡੀਅਨ ਕੰਪਨੀਜ਼ ਐਕਟ, 1913 ਦੇ 4(3) ਅਨੁਸਾਰ ਜਦd ਆਮਦਨ-ਕਰ ਅਿਧਕਾਰੀ ਇਸ ਿਸੱਟੇ 'ਤੇ ਪਹੁੰਚਦਾ ਹੈ ਿਕ ਿਕਸੇ ਫਰਮ ਦੇ ਭਾਈਵਾਲQ ਿਵੱਚd ਇੱਕ ਸQਝੇ ਪਿਰਵਾਰ ਦਾ ਨੁਮਾਇੰਦਾ ਹੈ, ਤQ ਉਸਨੂੰ ਇਹ ਸਮਝਣਾ ਚਾਹੀਦਾ ਹੈ ਿਕ ਉਸ ਪਿਰਵਾਰ ਦੇ ਬਾਲਗ ਮgਬਰ ਵੀ ਉਸ ਫਰਮ ਦੇ ਿਹੱਸੇਦਾਰ ਹਨ ਅਤੇ ਇਸ ਅਧਾਰ 'ਤੇ ਇਹ ਪਤਾ ਲਗਾਉਣਾ ਚਾਹੀਦਾ ਹੈ ਿਕ ਕੀ ਭਾਈਵਾਲQ ਦੀ ਕੁੱਲ ਸੰਿਖਆ ਵੀਹ ਤd ਵੱਧ ਹੈ। ਜੇਕਰ ਉਹ ਵੀਹ ਤd ਵੱਧ ਹਨ ਤQ ਉਹ ਭਾਈਵਾਲੀ ਨੂੰ ਰਿਜਸਟਰ ਨਹa ਕਰ ਸਕਦਾ, ਿਕnਿਕ ਅਿਜਹੀ ਭਾਈਵਾਲੀ ਐਸ ਦੀ ਉਲੰਘਣਾ ਕਰਦੀ ਹੈ। ਇੰਡੀਅਨ ਕੰਪਨੀਜ਼ ਐਕਟ, 1913 ਦਾ 4(2)।
ਐਕਟ ਦੀ ਧਾਰਾ 2(6ਬੀ) ਇਹ ਪ:ਦਾਨ ਕਰਦੀ ਹੈ ਿਕ ਐਕਟ ਿਵੱਚ 'ਫਰਮ', 'ਭਾਗੀਦਾਰ' ਅਤੇ 'ਭਾਈਵਾਲੀ' 7ਬਦ ਦਾ ਅਰਥ ਭਾਰਤੀ ਭਾਈਵਾਲੀ ਐਕਟ, 1932 ਿਵੱਚ ਸੰਭਾਵੀ ਤੌਰ 'ਤੇ ਉਹੀ ਹੈ।
ਭਾਈਵਾਲੀ ਐਕਟ, 1932 ਦੀ ਧਾਰਾ 4 ਦੱਸਦੀ ਹੈ:-
"ਭਾਈਵਾਲੀ" ਉਹਨQ ਿਵਅਕਤੀਆਂ ਿਵਚਕਾਰ ਸਬੰਧ ਹੈ ਜੋ ਸਾਿਰਆਂ ਲਈ ਕੰਮ ਕਰਦੇ ਹੋਏ ਜQ ਉਹਨQ ਿਵੱਚd ਿਕਸੇ ਦੁਆਰਾ ਕੀਤੇ ਕਾਰੋਬਾਰ ਦੇ ਮੁਨਾਫੇ ਨੂੰ ਸQਝਾ ਕਰਨ ਲਈ ਸਿਹਮਤ ਹੋਏ ਹਨ।

Mr. Chagla appearing on behalf of the assessee urged that no
Hindu _joint family as such can join a partnership and it is now well settled that when a karta of Hindu Undivided Family joins a firm as a partner evel'l if he contributes his share from out of the family funds, the other members of his family do not ipso facto become partners of that firm. So far as the partnership is concern-ed, he is the only partner though he may be accountable to the members of his family as regards the profits earned. According to the learned counsel, for the purpose of working out the rights and liabilities of the partners inter se one cannot go behind the partnership deed. Proceeding further "he urged that in considering whether a partnership should be registered under s. 26A or not, the Income-tax Officer has merely to see whether the requirements of s. 26A of the Act and the relevant rules are complied with or not. He is not entitled to iin'vestigate into the question as to who are beneficially interested in the partnership. According to him if the requirements of s. 26A and the relevant rules are complied with, tbe Income-tax Officer is bound to register the partnership. The counsel urged that the second limb of s. 4(3) of the Indian Companies Act, 1913, proceeds on the errcneous impression that

Mr. B. Sen, learned counsel for the department did not contest the position· that when a karta or a member of a Hindu Joint family joins a partnership the other members of his family do not beoome partners ipso facto. But according to him it is open to the depart-ment to go behind the partnership deed and find out whether the individual who has joined as a partner has joined in his own right or as a representative of any other body. His contention was that in view of s. 4(3) of the Indian Companies Act, 1913, once the Income-tax Officer comes to the conclusion that one of the partners of a firm is a representative of a joint family, he must deem that the adult 'members of that family are also partners of that firm and on that basis find out whether the total number of partners exceed twonty. If they exceed twenty he cannot register the partnership, as such a partnership contravenes s. 4 ( 2) of the Indian Companies Act, 1913. ·

Section 2(6B) of-the Act provides that the ·expression 'firm', D 'partner' and 'partnership' in the Act have the same meaning res-pectively as in the Indian Partnership Act, 4932.
Section 4 of the P11rtnership Act,' 1932 prescribes :-;:-
"Partnership" is the relaiion between. persons who have agreed to share the profits of a business carried on by all or any of them acting for all.
Persons who have entered into partnership with .one another are called individually "partners" and collec-tively "a firm" and the name under which their business "is carried on is called the''firm name'.
In view of the aforementioned provision only "persons" can join as partners. Section 2 ( 42) of the General Clauses Act says a "person" s~.all include any company or association or body of individuals whether incorporation or not. But this definition appli~ when there is nothing repugnant in the subject or context. After. examining the provisions of the Partnership Act, the Privy Council in Senaji Kapurchand v. Pan11?ji Devichand('), and this Court in Dulichand Laxminarayana -v. Commissioner of Income Tax, Nagpur([2]), have held that an association of persons is not a person within the meaning of that expression in the Partnership Act. It is true that s. 2(9) of the Act says that lllllless the context otherwise requires "person" includes Hindu Undivided Family. This definition cannot be imported into the Partnership Act, the H provisions of which alone are relevant for finding as to who could join as partners. It is only partnership constituted according to

ਿਜਹੜੇ ਿਵਅਕਤੀ ਇੱਕ ਦੂਜੇ ਨਾਲ ਭਾਈਵਾਲੀ ਿਵੱਚ ਦਾਖਲ ਹੋਏ ਹਨ ਉਹਨQ ਨੂੰ ਿਵਅਕਤੀਗਤ ਤੌਰ 'ਤੇ "ਭਾਗੀਦਾਰ" ਅਤੇ ਸਮੂਿਹਕ ਤੌਰ 'ਤੇ "ਇੱਕ ਫਰਮ" ਿਕਹਾ ਜQਦਾ ਹੈ ਅਤੇ ਿਜਸ ਨਾਮ ਦੇ ਤਿਹਤ ਉਹਨQ ਦਾ ਕਾਰੋਬਾਰ ਚਲਾਇਆ ਜQਦਾ ਹੈ ਉਸਨੂੰ 'ਫਰਮ ਨਾਮ' ਿਕਹਾ ਜQਦਾ ਹੈ।
