They raise a <:ommon question of law viz. whether on the facts and in the circum-stances of these cases the amounts claimed by the appellants (asses-sees) GS their losses in transactions in gunny bags which were conclud-ed by the transfer or delivery of pucca delivery orders were speculative losseio i.;ndu- Explanation 2 to the proviso to section 24( 1) of the Indian Income-tax Act, 1922 (to be hereinafter referred to as the Act). For deciding the question of law formulated above, it will be sufficient if we set out the facts in Civil Appeal No. 1037 of 1970. At the hearing we were referred to the facts of that case only, The assessee in Civil Appeal No. 1037 of 1970 is a company dealing, inter alia, in jute and jute goods. In the assessment years 1957-58, 1958-59 and 1960-61 (corresponding accounting periods be-ing calendar years 1956, 1957 and 1959), the assessee claimed Rs. 35,578/-, Rs. 20,665/- and Rs. 3,849/- respectively as losses in its business in the sale and purchase of gunny bags. The Income-tax Officer treated those losses as speculative losses. He held that the contracts in respect of the gunny bags said to have been sold were settled only by delivery of Pucca Delivery Orders (in short P.D.Os) and not by- actual delivery of the goods covered by those documents. He accordingly refused to set off those losses towards the profits made by the assessee in its non-speculative business. The assessee appealed against those assessment orders. The A.A.C. opined that the transactions. in question represented purchases and sales of jute goods. The A.A.C. consequently held that the losses claimed by the assessee were lo~ses from tre re~dv business in jute goods. In pursuance of those findmgs. he directed the Income-tax ·Officer to allow the losses claimed as busi-ness loss. The Department appealed against the order of the A.A.C to the Income-tax Appellate Tribunal. The Tribunal following the B decision of the Calcutta High Court in 1J;, N. Wadhwana v. Comntis-si01:a <>! Income-tax, West Bengal(') allowed the appeals filed by the· Department. It held that the sales in question were 'speculative' as contemplated by s. 24 of the Act. Consequently the losses in question, cannot be set off towards the profits made in the assessee 's non-speculative business. . Similar orders were made by the Tribunal in the case of other assessees. At the instance of the various assessees, qucs-c tior.s· sim:lar to the question formulated above were submitted to the High Court to ascertain its opinion. The High Court following its decision ia Income-tax Reference No. 88 of 1967 (Nandlal M. Varma· and Co. (P.) Ltd. v. Commissioner of Income-tax, West Bengal 11)([2 ]) answered those questions in favour of the Department. We have now to see whether the Calcutta High Court's decision, in Nana/al Varma's case (supra) and the other decisions relied on in that case lay down D the law correctly, If those cases were correctly decided, the appeals before us must fail. On behalf of the appellants, it was contended that Na1:a/al Varma's case and the decisions relied on therein were not correctly .decided. For the reasons to be stated hereinafter we agree· with that contention of the assessee. Section 24 of the Act deals with set off of losses in ~omputing the. aggregate income of an assessee. Sub-s. ( 1) of s. 24 reads : E "Where any assessee sustains a loss of profits or gains in any year under any of the heads mentioned in section 6, he shall be entitled to have the amount of the Joss set off against his income, profits or gains under any other head in that year: Provided that in computing the profits and gains charge-F able under the head 'Profits and gains of business. profession or vocation', any loss sustained in speculative transactions which are in the nature of a business shall not be taken into account except to the extent of the amount of profits and gains, if any, in any other business consisting of speculative transactions." (The second proviso is not relevant for our present G purpose). Explanation 1 to that section says : "Where the speculative transactions carried on are of such a nature as to constitut~ a business, the business shall be deemed to be distinct and separate from any other busines~" H Explanation 2 is important for our present purpose. It says : "A speculative transaction means a transaction in which a contract for purchase and sale of any commodity including 11 61, I.T.R. 154. (2) 7'. I.R.T. 713. stocks and shares is periodically or ultimately settled other-wise than by the actual delivery or transfer of the commodity or script.,. The remaining part of that section is not relevant for our proswt purpose, We have now to see whether on the facts found by the Tribunal, it can be said that the transactions with which we are concernod can h:: said to have been "periodically or ultimately settled otherwise than by lhe actual delivery, or transfer of the commodity"_. ਤਬਾਦਲੇ ਨਾਲc ਬੁੱਧੀਮਾਨ "। ਉਸ ਸੈਕ4ਨ ਦਾ ਬਾਕੀ ਿਹੱਸਾ ਸਾਡੇ ਮੌਜੂਦਾ ਉਦੇ4 ਲਈ ਢੁਕਵX ਨਹ[ ਹੈ। ਹੁਣ ਸਾਨੂੰ ਇਹ ਦੇਖਣਾ ਹੋਵੇਗਾ ਿਕ ਕੀ ਿਟ)ਿਬਊਨਲ ਦੁਆਰਾ ਲੱਭੇ ਗਏ ਤੱਥX kਤੇ, ਇਹ ਿਕਹਾ ਜਾ ਸਕਦਾ ਹੈ ਿਕ ਿਜਸ ਲੈਣ-ਦੇਣ ਨਾਲ ਅਸ[ ਸਬੰਧਤ ਹX, ਉਸ ਨੂੰ "ਸਮ]-ਸਮ] kਤੇ ਜX ਅੰਤ ਿਵੱਚ ਵਸਤੂ ਦੀ ਅਸਲ ਸਪੁਰਦਗੀ ਜX ਤਬਾਦਲੇ ਤc ਇਲਾਵਾ ਹੋਰ ਤਰੀਕੇ ਨਾਲ ਸੈਟਲ ਕੀਤਾ ਿਗਆ" ਿਕਹਾ ਜਾ ਸਕਦਾ ਹੈ। ਿਟ)ਿਬਊਨਲ ਨb ਪਾਇਆ ਹੈ ਿਕ ਜਦc ਕਰਦਾਿਤਆਂ ਨb ਆਪਣੇ ਖਰੀਦਦਾਰX ਨੂੰ ਪੀ.ਡੀ.ਓ ਟ)Xਸਫਰ ਕੀਤਾ ਸੀ ਤX ਉਨg X ਨb ਅਸਲ ਿਵੱਚ ਖਰੀਦਦਾਰX ਨੂੰ ਪੀ.ਡੀ.ਓ ਦੁਆਰਾ ਕਵਰ ਕੀਤਾ ਮਾਲ ਨਹ[ ਿਦੱਤਾ ਸੀ। ਇਸ ਿਸੱਟੇ ਨੂੰ ਚੁਣੌਤੀ ਨਹ[ ਿਦੱਤੀ ਗਈ ਸੀ। ਪਰ ਮੁਲXਕਣ ਕਰਨ ਵਾਿਲਆਂ ਵੱਲc ਇਹ ਅਪੀਲ ਕੀਤੀ ਗਈ ਸੀ ਿਕ ਿਟ)ਿਬਊਨਲ ਦਾ ਿਸੱਟਾ ਆਪਣੇ ਆਪ ਿਵੱਚ ਿਨਰਣਾਇਕ ਨਹ[ ਹੈ। ਉਹਨX ਨb ਿ4ਕਾਇਤ ਕੀਤੀ ਿਕ ਿਟ)ਿਬਊਨਲ ਨb ਇਸ ਸਵਾਲ 'ਤੇ ਗੌਰ ਨਹ[ ਕੀਤਾ ਹੈ ਿਕ ਕੀ ਪੀ.ਡੀ.ਓ ਦੇ ਆਖਰੀ ਤਬਾਦਿਲਆਂ ਨb ਪੀ.ਡੀ.ਓ ਦੁਆਰਾ ਕਵਰ ਕੀਤੇ ਮਾਲ ਦੀ ਅਸਲ ਸਪੁਰਦਗੀ ਕੀਤੀ ਸੀ ਜX ਨਹ[। ਇਸ ਗੱਲ' ਤੇ ਕੋਈ ਿਵਵਾਦ ਨਹ[ ਕੀਤਾ ਜਾ ਸਕਦਾ ਿਕ ਜੇ ਿਕਸੇ ਵੀ ਲੈਣ-ਦੇਣ ਦਾ ਿਨਪਟਾਰਾ ਵੇਚੇ ਗਏ ਮਾਲ ਦੀ ਅਸਲ ਸਪੁਰਦਗੀ ਜX ਉਸ ਵਸਤੂ ਦੇ ਤਬਾਦਲੇ ਦੁਆਰਾ ਕੀਤਾ ਿਗਆ ਸੀ, ਤX ਉਹ ਕਾਰਵਾਈਆਂ ਪਰਨ~ੁਕ ਦੀ ਿਵਆਿਖਆ 2 ਦੇ ਦਾਇਰੇ ਿਵੱਚ ਨਹ[ ਆhਦੀਆਂ।ਐDਸ. 24 (1) . ਸਾਡੇ ਫੈਸਲੇ ਿਵੱਚ ਿਕਸੇ ਵੀ ਕੰਪਨੀ ਦੇ ਜਾਇਜ਼ ਤਬਾਦਲੇ ਨੂੰ ਲਾਗੂ ਕਰਨ ਲਈ, ਇਹ ਜ਼ਰੂਰੀ ਨਹ[ ਹੈ ਿਕ ਇਸ ਤਬਾਦਲੇ ਤc ਬਾਅਦ ਮਾਲ ਦੀ ਅਸਲ ਸਪੁਰਦਗੀ ਕੀਤੀ ਜਾਵੇ। ਭਾਵ] ਮਾਲ ਟ)Xਸਫਰ ਕਰਨ ਵਾਿਲਆਂ ਨੂੰ ਿਦੱਤਾ ਜXਦਾ ਹੈ, ਪਿਹਲਾ ਟ)Xਸਫਰ ਵੀ ਇੱਕ ਜਾਇਜ਼ ਟ)Xਸਫਰ ਹੋਵੇਗਾ। ਇਸ ਲਈ, ਸਾਨੂੰ ਇਹ ਦੇਖਣਾ ਹੋਵੇਗਾ ਿਕ ਕੀ ਮਾਮਿਲਆਂ ਿਵੱਚ ਹੈ। ਸਾਡੇ ਤc ਪਿਹਲX, ਪੀ.ਡੀ.ਓ ਦੇ ਅੰਤਮ ਖਰੀਦਦਾਰ ਨb ਵੇਚੇ ਗਏ ਮਾਲ ਦੀ ਅਸਲ ਸਪੁਰਦਗੀ ਲੈ ਲਈ ਹੈ। ਿਟ)ਿਬਊਨਲ ਦੇ ਨਾਲ-ਨਾਲ ਹਾਈ ਕੋਰਟ ਦੀ ਰਾਏ ਸੀ ਿਕ ਜੇ ਪੀ.ਡੀ.ਓ ਦੇ ਿਕਸੇ ਵੀ ਤਬਾਦਲੇ ਤc ਬਾਅਦ ਮਾਲ ਦੀ ਅਸਲ ਈ-ਿਡਿਲਵਰੀ ਨਹ[ ਕੀਤੀ ਜXਦੀ, ਤX ਉਸ ਲੈਣ-ਦੇਣ ਨੂੰ ਸੱਟੇਬਾਜ਼ੀ ਵਜc ਮੰਿਨਆ ਜਾਣਾ ਚਾਹੀਦਾ ਹੈ। ਇਹ ਗਲਤ ਿਸੱਟਾ ਹੈ। ਅਪੀਲਕਰਤਾਵX ਅਨੁਸਾਰ, ਜੂਟ ਜX ਜੂਟ ਿਵੱਚ ਲੈਣ-ਦੇਣਕਲਕੱਤਾ ਿਵੱਚ ਆਮ ਤੌਰ kਤੇ ਹੇਠ ਿਲਖੇ ਢੰਗ ਨਾਲ ਬੋਿਰਆਂ ਦਾ ਸੰਚਾਲਨ ਕੀਤਾ ਜXਦਾ ਹੈਃ ਪਟਸਨ ਿਮੱਲX ਖਰੀਦਦਾਰX ਨੂੰ ਵਰਤਮਾਨ ਿਵੱਚ ਜX ਭਿਵੱਖ ਿਵੱਚ ਪਟਸਨ ਦਾ ਸਮਾਨ ਵੇਚਦੀਆਂ ਹਨ ਅਤੇਉਹਨX ਦੇ ਹੱਕ ਿਵੱਚ ਪੀ.ਡੀ.ਓ ਜਾਰੀ ਕਰਦਾ ਹੈ। ਜੇ ਿਵਕਰੀ ਵਰਤਮਾਨ ਿਵੱਚ ਹੈ, ਤX ਖਰੀਦਦਾਰ ਜੇ ਚੁਣਦੇ ਹਨ ਤX ਵੇਚੇ ਗਏ ਸਮਾਨ ਦੀ ਤੁਰੰਤ ਸਪੁਰਦਗੀ ਲੈ ਸਕਦੇ ਹਨ। ਜੇਕਰ ਵੇਚੇ ਗਏ ਮਾਲ ਦੀ ਸਪੁਰਦਗੀ ਭਿਵੱਖ ਦੀ ਿਮਤੀ ਨੂੰ ਿਦੱਤੀ ਜਾਣੀ ਹੈ, ਤX ਖਰੀਦਦਾਰ ਿਨਰਧਾਰਤ ਿਮਤੀ ਨੂੰ ਉਨg X ਮਾਲ ਦੀ ਸਪੁਰਦਗੀ ਲੈ ਸਕਦੇ ਹਨ। ਪਰ ਆਮ ਤੌਰ kਤੇ ਕਲਕੱਤਾ ਿਵੱਚ ਪਟਸਨ ਦੇ ਸਮਾਨ ਦੇ ਖਰੀਦਦਾਰ-ਇੱਕ ਖਰੀਦਦਾਰ ਤc ਦੂਜੇ ਖਰੀਦਦਾਰ ਨੂੰ ਪੀ.ਡੀ.ਓ ਟ)Xਸਫਰ ਕਰਦੇ ਹਨ ਅਤੇ ਆਮ ਤੌਰ kਤੇ ਪੀ.ਡੀ.ਓ ਖਰੀਦਦਾਰX ਦੁਆਰਾ ਖਰੀਿਦਆ ਜXਦਾ ਹੈ ਜੋ ਵੇਚੇ ਗਏ ਸਮਾਨ ਦੀ ਅਸਲ ਸਪੁਰਦਗੀ ਲ•ਦੇ ਹਨ। ਅਪੀਲਕਰਤਾਵX ਦੇ ਅਨੁਸਾਰ ਇੱਕ ਪੀ. ਡੀ. ਓ. ਦੇ ਹਰੇਕ ਤਬਾਦਲੇ ਦਾ ਨਤੀਜਾ ਇੱਕਿਵਕਰੀ ਹਾਲXਿਕ ਉਸ ਸਮ] ਹੁੰਦੀ ਹੈ ਜਦc ਿਵਚਕਾਰਲੀ ਿਵਕਰੀ ਹੁੰਦੀ ਹੈ, ਮਾਲ ਦੀ ਸਪੁਰਦਗੀ ਦੀ ਘਾਟ ਕਾਰਨ ਵੇਚੇ ਗਏ ਮਾਲ ਦਾ ਿਸਰਲੇਖ ਨੁਕਸਦਾਰ ਹੁੰਦਾ ਹੈ। ਿਜਵ] ਹੀ ਵੇਚੀਆਂ ਗਈਆਂ ਵਸਤX ਅਸਲ ਿਵੱਚ ਪਹੁੰਚਾਈਆਂ ਜXਦੀਆਂ ਹਨ, is periodically or ultimately settled other-wise than by the actual delivery or transfer of the commodity or script.,. The remaining part of that section is not relevant for our proswt purpose, We have now to see whether on the facts found by the Tribunal, it can be said that the transactions with which we are concernod can h:: said to have been "periodically or ultimately settled otherwise than by lhe actual delivery, or transfer of the commodity"_. The Tribunal haS found that, when the assessees transferred the P .D.Os. to theii*buyers they had not actually delivered to the buyers the guods covered by the P.D.Os. That conclusion was not challenged. But it was urged Oil behalf of the assessees that the Tribunal's finding . by itself JS not conclusive. They complain that the Tribunal has not gone into the question whether the last transferees of the P.D.0>. had taken actual delivery or not of the 2oods covered by the P.D-Os. it cannot be disputed that if any of the transactions were settled by actu~i delivery of the goods sold or transfer of that commodity, those trans-. actions do not come within the scope of Explanation 2 to the proviso to" 24(1). In our judgment to effect a valid transfer of any commo-dity, it is not necessary that the transfer in question should be followed up by actual delivery of the goods to the transferee. Even if the goods ate delivered to the transferees' transferee, the first transfer al;o wili be a wlid transfer. Therefore, we have to see whether in the cases. be-fore us. the ultimate purchaser of the P.D.Os. has taken actual delivery of the goods sold. The Tribunal as well as the High Court were of opinion that if any transfer of the P.D.Os. is not followed up by 2ctual delivery of the goods to the transferee, that transaction has to b" consi-dered as speculative. This is an erroneous conclusion. According to the appellants, the transactions in jute or in jute gunny bags are usually conducted in Calcutta in the following manner : · Jute Mills sell in presenti or in future jute goods to buyers and issues P.D.Os. in their favour. If the sales are in presenti, the buyers if they so choose can take immediate delivery of the goods so'd. · Jf the delivery of the goods sold is to be given on_a future date, the buyers can take delivery of those goods on the date specified. But usually, the buyers of jute goods in Calcutta-t~ansfer the P._D-Os from one · buy;;r to another and ultimately P.D.Os. m the generahtv of cases, are purchased by the Shippers who take actual deliverv of the good> sold. According to the appellants every transfer of a P.D.O. results in a sale though at the time the intermediate sales take place, :he title to goods sold is defective for want of delivery of the goods. That title gets perfected as soon as the goods sold are actually delivered_ In support of the trade practice pleaded, Mr. Ashok Sen, le3rned Counsel for the appellants relied on the decision of this Court in Duni Chand Rataria v.
