The appellant is the assessee. Her husband was a partner in three partnership firms. A partnership deed dated 30th July 1957 was executed by him alongwith two other partners. He died on 24th July 1959 leaving behind the appellant. After his death another deed of partnership dated 12th August 1959 was executed by the assessee with the wife of the second partner in the first deed and also the first partner. This deed indicated the shares of the parties in the partnership firm and alao recorded the death of the assessee's husband and that he had died leaving the assessee as his widow who had adopted the son of the second partner in the original partnership firm three days after his death.
The asses see'~ bus band while he was a partner had an unabsorbed loss from the speculation business suffered by him as a partner in two firms as per the orders of the Income Tax Officer under Section 35 of the Income Tax Act 1922 for the assessment years 1958-59, 1959-60 and l96Q-6l. In the assessment year 1962-63 the appellant (assessee) was entitled to a share in the speculation profits made by the firms, and claimed that the speculation loss suffered by her· husband in the earlier years should be set ofx against her speculation profits of the assessment year under appeal.

A The Income Tax Officer did not accept this contention and his order was confirmed in appeal by the Appellate Assistant Coomissioner who held that there could be no succession or inheritance in respect of membership of a firm, and that on the death of a husband or a father the wife or the son might be admitted into the partnership by the remainiug partners not B because they had inherited the right to join the firm but because the remainiug partners were agreeable to their joining the firm and that on such death the wife or the son might inherit the capital left by the deceased in the firm and the wife or the son might have a right to take away such capital or to allow the same to remain with the firm, but that they would not have the right of inheritance to join the partnership on the basis of that capital and held that the assessee was therefore, not entitled to c claim set off of the speculation losses sufferd by her husband.

From the decision of the Appellant Assistant Coumdssioner both the assessee and the revenue went up in appeal before the Tribunal, and the Tribunal held that readiug the partnership deed it was clear th.it the assessee and the minor adopted son were D admitted to the various partnerships after the death of the assessee's husband because they were his heirs and because of the relationship between the assessee and the other partners, the assessee had succeeded by inheritance to her husband in her capacity as partner, and that it was not provided in the partnership deed that after the death of any partner the firm would not be dissolved, and that the firm was not dissolved but E had continued, and allowed the assessees' appeal holdiug that the assessee had succeeded to the deceased in her capacity as partner by inheritance.

ਅਪੀਲਕਰਤਾ ਮੁਲਾਂਕਣਕਰਤਾ ਹੈ। ਉਸਦਾ ਪਤੀ ਤਿੰਨ ਸਾਂਝੇਦਾਰੀ ਫਰਮਾਂ ਵਿੱਚ ਸਾਂਝੀਦਾਰ ਸੀ। 30 ਜੁਲਾਈ 1957 ਨੂੰ ਉਸਨੇ ਦੋ ਹੋਰ ਸਾਂਝੀਦਾਰਾਂ ਨਾਲ ਇੱਕ ਸਾਂਝੇਦਾਰੀ ਦਾ ਕਰਾਰ ਕੀਤਾ ਸੀ। ਉਹ 24 ਜੁਲਾਈ 1959 ਨੂੰ ਅਪੀਲਕਰਤਾ ਨੂੰ ਛੱਡ ਕੇ ਮਰ ਗਿਆ ਸੀ। ਉਸਦੀ ਮੌਤ ਤੋਂ ਬਾਅਦ 12 ਅਗਸਤ 1959 ਨੂੰ ਪਹਿਲੇ ਕਰਾਰ ਵਿੱਚ ਦੂਜੇ ਸਾਂਝੀਦਾਰ ਦੀ ਪਤਨੀ ਅਤੇ ਪਹਿਲੇ ਸਾਂਝੀਦਾਰ ਨਾਲ ਮੁਲਾਂਕਣਕਰਤਾ ਦੁਆਰਾ ਇੱਕ ਹੋਰ ਸਾਂਝੇਦਾਰੀ ਦਾ ਕਰਾਰ ਕੀਤਾ ਗਿਆ ਸੀ। ਇਸ ਕਰਾਰ ਨੇ ਸਾਂਝੇਦਾਰੀ ਫਰਮ ਵਿੱਚ ਪਾਰਟੀਆਂ ਦੇ ਹਿੱਸੇ ਦੀ ਨਿਸ਼ਾਨਦੇਹੀ ਕੀਤੀ ਅਤੇ ਮੁਲਾਂਕਣਕਰਤਾ ਦੇ ਪਤੀ ਦੀ ਮੌਤ ਦਾ ਰਿਕਾਰਡ ਕੀਤਾ ਅਤੇ ਉਹ ਮੁਲਾਂਕਣਕਰਤਾ ਨੂੰ ਆਪਣੀ ਵਿਧਵਾ ਵਜੋਂ ਛੱਡ ਗਿਆ ਸੀ, ਜਿਸਨੇ ਮੌਤ ਤੋਂ ਤਿੰਨ ਦਿਨਾਂ ਬਾਅਦ ਮੂਲ ਸਾਂਝੇਦਾਰੀ ਵਿੱਚ ਦੂਜੇ ਸਾਂਝੀਦਾਰ ਦੇ ਪੁੱਤਰ ਨੂੰ ਗੋਦ ਲਿਆ ਸੀ।
ਮੁਲਾਂਕਣਕਰਤਾ ਦੇ ਪਤੀ ਨੇ ਜਦੋਂ ਉਹ ਇੱਕ ਸਾਂਝੀਦਾਰ ਸੀ, ਤਾਂ ਅਟਕਲਪਿਤ ਕਾਰੋਬਾਰ ਤੋਂ ਉਸਨੂੰ ਇੱਕ ਅਣ-ਸੋਖਿਆ ਘਾਟਾ ਹੋਇਆ ਸੀ, ਜੋ ਕਿ ਇੱਕ ਸਾਂਝੀਦਾਰ ਵਜੋਂ ਉਸਨੇ ਸਹਿਣ ਕੀਤਾ ਸੀ, ਇਸ ਅਪੀਲ ਵਿੱਚ 1958-59, 1959-60 ਅਤੇ 1960-61 ਦੇ ਮੁਲਾਂਕਣ ਸਾਲਾਂ ਲਈ ਆਮਦਨ ਕਰ ਐਕਟ 1922 ਦੀ ਧਾਰਾ 55 ਤਹਿਤ ਆਮਦਨ ਕਰ ਅਧਿਕਾਰੀ ਦੇ ਹੁਕਮਾਂ ਅਨੁਸਾਰ ਲਿਆਂਦਾ ਗਿਆ ਸੀ। 1962-63 ਦੇ ਮੁਲਾਂਕਣ ਵਿੱਚ ਅਪੀਲਕਰਤਾ (ਮੁਲਾਂਕਣਕਰਤਾ) ਨੂੰ ਫਰਮ ਦੁਆਰਾ ਕੀਤੇ ਗਏ ਅਟਕਲਪਿਤ ਲਾਭਾਂ ਵਿੱਚ ਹਿੱਸੇਦਾਰੀ ਦਾ ਹੱਕ ਸੀ, ਅਤੇ ਉਸਨੇ ਦਾਅਵਾ ਕੀਤਾ ਕਿ ਪਿਛਲੇ ਸਾਲ ਵਿੱਚ ਉਸਦੇ ਪਤੀ ਦੁਆਰਾ ਸਹਿਣਿਆ ਗਿਆ ਅਟਕਲਪਿਤ ਘਾਟਾ ਅਪੀਲ ਹੇਠ ਮੁਲਾਂਕਣ ਸਾਲ ਦੇ ਉਸਦੇ ਅਟਕਲਪਿਤ ਲਾਭਾਂ ਦੇ ਵਿਰੁੱਧ ਸੈੱਟ ਆਫ ਕੀਤਾ ਜਾਣਾ ਚਾਹੀਦਾ ਹੈ।
ਆਮਦਨ ਕਰ ਅਧਿਕਾਰੀ ਨੇ ਇਸ ਦਲੀਲ ਨੂੰ ਸਵੀਕਾਰ ਨਹੀਂ ਕੀਤਾ ਅਤੇ ਉਸਦਾ ਹੁਕਮ ਆਪੀਲ ਵਿੱਚ ਉਪ-ਨਿਰਣਾਇਕ ਕਮਿਸ਼ਨਰ ਦੁਆਰਾ ਪੁਸ਼ਟੀ ਕੀਤਾ ਗਿਆ ਸੀ, ਜਿਸ ਨੇ ਫੈਸਲਾ ਕੀਤਾ ਕਿ ਇੱਕ ਫਰਮ ਦੀ ਮੈਂਬਰਸ਼ਿਪ ਦੇ ਸੰਬੰਧ ਵਿੱਚ ਵਾਰਸ ਦਾ ਕੋਈ ਵਾਧਾ ਨਹੀਂ ਹੋ ਸਕਦਾ, ਅਤੇ ਇੱਕ ਪਤੀ ਜਾਂ ਪਿਤਾ ਦੀ ਮੌਤ ਤੋਂ ਬਾਅਦ ਪਤਨੀ ਜਾਂ ਪੁੱਤਰ ਨੂੰ ਬਚੇ ਹੋਏ ਸਾਂਝੇਦਾਰਾਂ ਦੁਆਰਾ ਸਾਂਝੇਦਾਰੀ ਵਿੱਚ ਸ਼ਾਮਲ ਕੀਤਾ ਜਾ ਸਕਦਾ ਹੈ, ਪਰ ਇਸ ਲਈ ਕਿ ਉਨ੍ਹਾਂ ਨੇ ਫਰਮ ਵਿੱਚ ਸ਼ਾਮਲ ਹੋਣ ਦਾ ਅਧਿਕਾਰ ਵਿਰਾਸਤ ਵਿੱਚ ਪ੍ਰਾਪਤ ਕੀਤਾ ਸੀ, ਸਗੋਂ ਇਸ ਲਈ ਕਿ ਬਚੇ ਹੋਏ ਸਾਂਝੇਦਾਰ ਉਨ੍ਹਾਂ ਦੇ ਫਰਮ ਵਿੱਚ ਸ਼ਾਮਲ ਹੋਣ ਲਈ ਸਹਿਮਤ ਸਨ।
ਇਸ ਗੱਲ ਤੇ ਵੀ ਸਹਿਮਤੀ ਹੋਈ ਕਿ ਵਿਰਾਸਤ ਦੇ ਅਧਿਕਾਰ ਦੀ ਸ਼ਰਤ ਅਨੁਸਾਰ, ਅਜਿਹੀ ਮੌਤ ਤੋਂ ਬਾਅਦ ਪਤਨੀ ਜਾਂ ਪੁੱਤਰ ਨੂੰ ਮਰੇ ਹੋਏ ਦੁਆਰਾ ਫਰਮ ਵਿੱਚ ਛੱਡੇ ਗਏ ਪੂੰਜੀ ਨੂੰ ਵਿਰਾਸਤ ਵਿੱਚ ਮਿਲ ਸਕਦਾ ਹੈ, ਅਤੇ ਪਤਨੀ ਜਾਂ ਪੁੱਤਰ ਨੂੰ ਅਜਿਹੀ ਪੂੰਜੀ ਨੂੰ ਲੈ ਜਾਣ ਜਾਂ ਫਰਮ ਵਿੱਚ ਰਹਿਣ ਦਿੱਤੇ ਜਾਣ ਦਾ ਅਧਿਕਾਰ ਹੋ ਸਕਦਾ ਹੈ, ਪਰ ਉਨ੍ਹਾਂ ਨੂੰ ਉਸ ਪੂੰਜੀ ਦੇ ਆਧਾਰ ਤੇ ਸਾਂਝੇਦਾਰੀ ਵਿੱਚ ਸ਼ਾਮਲ ਹੋਣ ਦਾ ਵਾਰਸ ਦਾ ਅਧਿਕਾਰ ਨਹੀਂ ਹੋਵੇਗਾ, ਅਤੇ ਫੈਸਲਾ ਕੀਤਾ ਕਿ ਮੁਲਾਂਕਣਕਰਤਾ ਆਪਣੇ ਪਤੀ ਦੁਆਰਾ ਸਹਿਣ ਕੀਤੇ ਗਏ ਅਟਕਲਪਿਤ ਨੁਕਸਾਨਾਂ ਦੇ ਸੈਟ-ਆਫ ਦਾ ਦਾਅਵਾ ਕਰਨ ਦੇ ਯੋਗ ਨਹੀਂ ਸੀ।

2. ਚਾਰ ਦਿਨਾਂ ਲਈ ਕੋਈ ਰਸਮੀ ਸਾਂਝੇਦਾਰੀ ਦਾ ਕਰਾਰ ਨਹੀਂ ਸੀ, ਪਰ ਵਾਰਸ ਵਿੱਚ ਅਰਥ ਸੀ। ਮੌਜੂਦਾ ਸਾਥੀ ਦੀ ਪਤਨੀ, ਮੌਤ ਦੇ ਸਾਥੀ ਦੀ ਮੁਲਾਂਕਣਕਰਤਾ, ਸਾਂਝੇਦਾਰੀ ਵਿੱਚ ਹਿੱਸਾ ਸਾਂਝਾ ਕਰਨ ਦੇ ਫਰਜ਼ ਤੋਂ ਬਚ ਨਹੀਂ ਸਕਦੀ ਸੀ ਅਤੇ ਉਸ ਕੋਲ ਵਾਸਤਵ ਵਿੱਚ ਸਾਂਝੇਦਾਰੀ ਵਿੱਚ ਹਿੱਸਾ ਸਾਂਝਾ ਕਰਨ ਦਾ ਅਧਿਕਾਰ ਸੀ। ਇਸੇ ਤਰ੍ਹਾਂ ਹੋਰ ਸਾਥੀਆਂ ਕੋਲ ਉਸ ਨੂੰ ਇਹ ਅਧਿਕਾਰ ਦੇਣ ਤੋਂ ਇਨਕਾਰ ਕਰਨ ਦਾ ਕੋਈ ਅਧਿਕਾਰ ਨਹੀਂ ਸੀ।
3. ਵਾਰਸ ਖਾਲੀ ਨਹੀਂ ਰਹਿ ਸਕਦਾ। ਵਾਰਸ ਵਾਰਸਾਨੁਕੁਲ ਹੋਣਾ ਚਾਹੀਦਾ ਹੈ। ਪਰ ਇੱਕ ਖਾਸ ਮਾਮਲੇ ਵਿੱਚ ਸਾਂਝੇਦਾਰਾਂ ਦੇ ਕਰਾਰ ਦੇ ਕਿਸੇ ਵੀ ਪ੍ਰਗਟ ਪ੍ਰਬੰਧ ਤੋਂ ਬਿਨਾਂ, ਸਾਂਝੇਦਾਰਾਂ ਦੇ ਵਿਵਹਾਰ ਤੋਂ ਇਹ ਅਨੁਮਾਨ ਲਗਾਇਆ ਜਾ ਸਕਦਾ ਹੈ ਕਿ ਵਾਰਸ ਸੀ, ਅਤੇ ਜੇਕਰ ਇਹ ਦ੍ਰਿਸ਼ਟੀਕੋਣ ਪ੍ਰਗਟ ਪ੍ਰਬੰਧ ਦੀ ਅਣਹੋਂਦ ਵਿੱਚ ਵੀ ਸੰਭਵ ਹੈ, ਤਾਂ ਅਜਿਹਾ ਅਨੁਮਾਨ ਲਗਾਇਆ ਜਾ ਸਕਦਾ ਹੈ ਅਤੇ ਲਗਾਇਆ ਜਾਣਾ ਚਾਹੀਦਾ ਹੈ।

At the instance of the Revenue a reference under Section F 256(2) of the Income Tax Act, 1961 was made to the High Court which allowed the refe~ence and held that the assessee was not entitled to the set off of the speculation losses brought forward from earlier years against the speculation profits of the asses-sment year under appeal and that the right to carry forward and set off losses in a business or profession is available under Sections 72 to 7 4 of the Income 'fax Act, 1961 only to the person G who has suffered the loss and under Section 78(2) to the person who succeeded in such capacity by inheritance and not otherwise.
In the appeal to this Court, on the question whether the assessee became a partner and as such succeeded by inheritance, H that is did the wife get her right by inheritance or by enteriug
into a fresh deed of partnership with .the ex.;.o~!ng partners or other partners.
Allowing the appeal,
HELD: 1. "Set Off" or "carry forward and set off" are the subject matters of Section 70 to 80 of Chapter VI of the Income Tax Act 1961. Right to carry forward is available only to the persons Who had suffered losses. Sub-s. (2) of section 78 stipulat~ that Where any person carrying on any business or profession has been succeeded in such capacity by another person otherwise than by way of inheritance, nothing in Chapter VI shall entitle any person other than the person incurring the loss to have it carried forward and set off against his income. An analysis of the section indicates that mere succession will not pet"lllit or bestow the right to carry forward losses in speculation. It is only Where succession is by inheritance that the right is given to that person to set off the loss against the profits. [218 E-<;]
2. Though there was no formal partnership deed for four
days, there was no vacuum in the succession. The wife, the assessee of the deceased partner, could not get out of the obligation to share in the partnership and she had indeed the right tc share in the partnership. Similarly the other partners, did not have any right to deny her that right. [223H - 224A]
3. Succession does not remain in vacuum. Succession must be
by inheritance. But it is posssible in a particular case without any express provision either in the deed, or in writing to infer from the conduct of the. parties that there was succession, and if such a view is possible in spite of the absence of express provision, such an inference could be and should be drawn. [223F]
4. Facts should be viewed in natural perspective, having regard to the compulaion of the circumstances of a case. Where it is possible to draw two inferences from the facts and Where there is no evidence of any dishonest or improper 1110tive on the part of the assessee, it would be just and equitable to draw such inference in such a manner that would lead to equity and justice. Too hypertechnical or legalistic approach should be avoided in looking at a provision which must be equitably interpreted and justly administered. [223 E]

In the instant case, the business .carried on by the partnership firm was a family concern of the partners. The B partners were brothers of the deceased. They were living in the same house. After the death of the assessee's husband the new partnership firm was constituted with the assessee 's wife and the adopted son with necessary adjustlllent in the shares of the part-ies due , to the adoption by her as well ·as the partners -his brothers. The new partnership deed was executed within four days after the death of the assessee 's husband, and after the adoption C of a son of his brother. There was no evidence that any business was carried on in these few clays which, according to the social and religious customs of the country, were the days of lllOUrning in a joint Hindu family and no business possibly could have been carried on these days. The new 'firm was also a joint family concern. There was / no term in the old partnership deed nor was there any term in the deed dated 27th July, 1959 that the heirs D of the deceased partners would be taken as partners in the new firm. It is possible to infer such a term from the conduct of the parties and the constitutiotl of the firm. It is possible by the circumstantial evidence to establish or to infer that there was a binding obligation quasi legal that 'the. other partners take the deceased partner's wife or heirs as a partner or p.ll'tners and E ·.· there was. a right of· the deceased parter'& wife or heirs to join the partnership firm. SABYASACHI MUKHARJI, J. This appeal by special leave is from the judgment and order of the Allahabad High Court dated 21st May, 1971 in Income Tax Reference No. 44 of 1965.
nrl.s reference arose in respect of the assessment year 1962-63. One Prem Shankar was a partner in three partnership firms namely ( 1) M/ s Bari Shankar Gauri Shankar, ( 2) M/ s Bari Shankar Gauri Shankar Rice and Dal Mill and (3) Sri Ram Mahadeo Mills. The said Prem· Shankar died on or about 24th July, 1959 leaving his widow Smt. Saro j Agarwal who is the assessee in the present appeal. After the death of Prem Shankar, Smt. Saro j Agarwal, the assessee herein, joined the partnership in which her husband was a partner before his death. It is necessary, in view of the contention raised in this appeal, to refer to the partnership deed between the deceased husband of the assessee and his partners. The deed was dated 30th July 1957. It described the three partners - one being L. Bari Shankar and the others being L. Gauri Shankar and the third ~ng L. Prem Shankar, the deceased husband of the assessee.

ਇਹ ਰੈਫਰੰਸ ਮੁਲਾਂਕਣ ਸਾਲ 1962-63 ਦੇ ਸੰਬੰਧ ਵਿੱਚ ਉੱਭਰੀ। ਪ੍ਰੋਮ ਸ਼ੰਕਰ ਤਿੰਨ ਸਾਂਝੇਦਾਰੀ ਫਰਮਾਂ ਵਿੱਚ ਸਾਂਝੇਦਾਰ ਸੀ, ਜਿਨ੍ਹਾਂ ਵਿੱਚ (1) ਮਿਸਟਰ ਰਿਆਰ ਸ਼ੰਕਰ ਗੌਰੀ ਸ਼ੰਕਰ, (2) ਮਿਸਟਰ ਹਰਦ ਸ਼ੰਕਰ ਗੌਰੀ ਸ਼ੰਕਰ ਅਤੇ ਮਿਸਟਰ ਤੇਲ ਮਿੱਲ ਅਤੇ (3) ਸੂਤੀ ਕਾ ਮਜ਼ਾ, ਜਿਸ ਵਿੱਚ ਉਸਦੀ ਵਿਧਵਾ ਸ਼੍ਰੀਮਤੀ ਸਰੋਜ ਅਗਰਵਾਲ ਜੋ ਇਸ ਅਪੀਲ ਵਿੱਚ ਮੁਲਾਂਕਣਕਰਤਾ ਹੈ। ਪ੍ਰੋਮ ਸ਼ੰਕਰ ਦੀ ਮੌਤ ਤੋਂ ਬਾਅਦ, ਸ਼੍ਰੀਮਤੀ ਸਰੋਜ ਅਗਰਵਾਲ, ਅਪੀਲਾਂਟ ਵਿੱਚ ਸ਼ਾਮਲ ਹੋਈ, ਜਿਸ ਵਿੱਚ ਉਸਦਾ ਪਤੀ ਉਸਦੀ ਮੌਤ ਤੋਂ ਪਹਿਲਾਂ ਸਾਂਝੇਦਾਰ ਸੀ।
ਇਸ ਅਪੀਲ ਵਿੱਚ ਉਭਰੇ ਵਿਵਾਦ ਦੇ ਸੰਦਰਭ ਵਿੱਚ, ਮੁਲਾਂਕਣਕਰਤਾ ਦੇ ਮਰੇ ਹੋਏ ਪਤੀ ਅਤੇ ਉਸਦੇ ਸਾਂਝੇਦਾਰਾਂ ਵਿਚਕਾਰ ਸਾਂਝੇਦਾਰੀ ਦੇ ਕਰਾਰ ਦਾ ਹਵਾਲਾ ਦੇਣਾ ਜ਼ਰੂਰੀ ਹੈ। ਇੱਕ 30 ਜੁਲਾਈ 1957 ਨੂੰ ਦਿੱਤਾ ਗਿਆ ਸੀ। ਇਸ ਵਿੱਚ ਸਹੀ ਸਾਂਝੇਦਾਰੀ - ਜੋਰਾਤ ਸ਼ੰਕਰ ਅਤੇ ਹੋਰ ਲੈਫਟੀਨੈਂਟ ਗੌਰੀ ਸ਼ੰਕਰ ਅਤੇ ਤੀਜਾ ਲੈਫਟੀਨੈਂਟ ਪ੍ਰੇਮ ਸ਼ੰਕਰ, ਮੁਲਾਂਕਣਕਰਤਾ ਦਾ ਮਰਿਆ ਹੋਇਆ ਪਤੀ ਸੀ।
ਮੁਲਾਂਕਣਕਰਤਾ ਵੱਲੋਂ ਸਾਨੂੰ ਇਹ ਦਿੱਤਾ ਗਿਆ ਕਿ ਉਹ ਸਾਰੇ ਇੱਕੋ ਪਤੇ ਦੇ ਮਾਲਕ ਸਨ, ਜਿਵੇਂ ਕਿ ਉਸ ਸਾਂਝੇਦਾਰੀ ਦੇ ਕਰਾਰ ਵਿੱਚ ਦੱਸਿਆ ਗਿਆ ਹੈ। ਇਹ ਇਸ ਗੱਲ ਨੂੰ ਜ਼ੋਰ ਦੇਣ ਲਈ ਕਿਹਾ ਗਿਆ ਸੀ ਕਿ ਉਹ ਇੱਕ ਜੰਟ ਹਿੰਦੂ ਪਰਿਵਾਰ ਦੇ ਮੈਂਬਰ ਸਨ। ਕਰਾਰ ਦੇ ਖੰਡਨ ਨੇ ਕਿਹਾ ਕਿ ਉਹ 9 ਜੁਲਾਈ, 1956 ਤੋਂ ਕਾਰੋਬਾਰ ਚਲਾ ਰਹੇ ਸਨ ਅਤੇ ਸਾਂਝੇਦਾਰੀ ਦਾ ਕਰਾਰ 9 ਜੁਲਾਈ, 1956 ਨੂੰ ਕਰਾਰ ਦਿੱਤਾ ਗਿਆ ਸੀ ਅਤੇ ਇਸ ਤੋਂ ਬਾਅਦ ਇੱਕ ਬਲਰਾਜ ਜੋ ਜੁਲਾਈ 1956 ਦੇ ਕਰਾਰ ਵਿੱਚ ਵੀ ਸਾਂਝੇਦਾਰ ਸੀ, ਨੇ ਸੇਵਾਮੁਕਤ ਹੋ ਗਿਆ ਸੀ ਅਤੇ ਕਰਾਰ ਦੇ ਮਧ ਵਿੱਚ ਦੱਸੇ ਗਏ ਪਾਰਟੀਆਂ ਨੇ ਸਾਂਝੇਦਾਰੀ ਵਿੱਚ ਕਾਰੋਬਾਰ ਕਰਨ ਲਈ ਸਹਿਮਤੀ ਪ੍ਰਗਟ ਕੀਤੀ ਅਤੇ ਸ਼ਰਤਾਂ ਨੂੰ ਲਿਖਤੀ ਰੂਪ ਵਿੱਚ ਪੇਸ਼ ਕੀਤਾ ਗਿਆ। ਧਾਰਾ 6 ਨੇ, ਹੋਰਨਾਂ ਵਿੱਚ, ਕਿਹਾ ਕਿ ਸਾਂਝੇਦਾਰੀ ਇੱਕ ਸਾਂਝੇਦਾਰੀ ਸੀ ਅਤੇ ਭਾਰਤੀ ਸਾਂਝੇਦਾਰੀ ਐਕਟ, 1932 ਲਾਗੂ ਹੁੰਦਾ ਸੀ… ਇਸ ਦੇ ਨਾਲ. ਧਾਰਾ 7 ਵਿੱਚ ਕਿਹਾ ਗਿਆ ਸੀ ਕਿ ਪਾਰਟੀਆਂ ਦੀ ਸ਼ੇਅਰ ਲਾਭ (ਜਾਂ ਘਾਟੇ, ਜੇ ਕੋਈ ਹੋਵੇ) ਵਿੱਚ ਇਸ ਤਰ੍ਹਾਂ ਹੋਣੀ ਚਾਹੀਦੀ ਹੈ:

ਅਗਲਾ ਭਾਈਵਾਲੀ ਦਾ ਡੀਡ 12 ਅਗਸਤ, 1959 ਨੂੰ ਹੋਇਆ ਸੀ ਜਿਸਨੂੰ ਮੌਜੂਦਾ, ਅਸੈਸੇਸੀ ਅਤੇ ਐਲ. ਦੀ ਪਤਨੀ ਦੁਆਰਾ ਚਲਾਇਆ ਗਿਆ ਸੀ। ਗੌਰੀ ਸ਼ੰਕਰ, ਜੋ ਕਿ ਅਸਲ ਡੀਡ ਵਿੱਚ ਦੂਜਾ ਭਾਈਵਾਲ ਸੀ ਅਤੇ ਸੀ ਸ਼੍ਰੀ ਹਰਲ ਸ਼ੰਕਰ, ਪਹਿਲਾ ਭਾਈਵਾਲ• ਇਹ ਡੀਡ 12 ਅਗਸਤ 1959 ਨੂੰ ਚਲਾਇਆ ਗਿਆ ਸੀ ਜਦੋਂ ਕਿ ਪ੍ਰੇਮ ਸ਼ੰਕਰ ਦੀ 24 ਜੁਲਾਈ, 1959 ਨੂੰ ਮੌਤ ਹੋ ਗਈ ਸੀ। ਇਸ ਡੀਡ ਦੇ ਸਾਰੇ ਐਗਜ਼ੀਕਿਊਟੈਂਟਸ ਨੂੰ ਪਹਿਲੇ ਜ਼ਿਕਰ ਕੀਤੇ ਡੀਡ ਵਿੱਚ ਉਸੇ ਪੁਰਾਣੇ ਪਤੇ ਦੇ ਨਿਵਾਸੀ ਦੱਸਿਆ ਗਿਆ ਸੀ ਜਿਸ ਤੋਂ ਪਤਾ ਲੱਗਦਾ ਹੈ ਕਿ ਉਹ ਉਸੇ ਜਗ੍ਹਾ `ਤੇ ਰਹਿਣ ਵਾਲੇ ਇੱਕ ਸਾਂਝੇ ਹਿੰਦੂ ਪਰਿਵਾਰ ਤੋਂ ਆਏ ਸਨ। ਇਸ ਵਿੱਚ ਪ੍ਰੇਮ ਸ਼ੰਕਰ ਦੀ ਮੌਤ ਦਰਜ ਕੀਤੀ ਗਈ ਅਤੇ ਉਸਦੀ ਮੌਤ ਹੋ ਗਈ ਮੌਜੂਦਾ ਅਸੈਸੇਸੀ ਨੂੰ ਵਿਧਵਾ ਵਜੋਂ ਛੱਡ ਦਿੱਤਾ ਗਿਆ ਜਿਸਨੇ ਇੱਕ ਸੁਧੀਰ ਨੂੰ ਗੋਦ ਲਿਆ ਸੀ ਕੁਮਾਰ ਅਗਰਵਾਲ ਪੁੱਤਰ ਐਲ. ਗੌਰੀ ਸ਼ੰਕਰ, ਜੋ ਕਿ ਅਸਲ ਭਾਈਵਾਲੀ ਫਰਮ ਵਿੱਚ ਦੂਜਾ ਭਾਈਵਾਲ ਸੀ, 27 ਜੁਲਾਈ, 1959 ਨੂੰ ਪੁੱਤਰ ਵਜੋਂ ਭਾਵ ਪ੍ਰੇਮ ਸ਼ੰਕਰ ਦੀ ਮੌਤ ਤੋਂ ਤਿੰਨ ਦਿਨ ਬਾਅਦ। ਮੌਜੂਦਾ ਅਸੈਸੀ ਭਾਈਵਾਲੀ ਵਿੱਚ ਸ਼ਾਮਲ ਹੋ ਗਿਆ ਸੀ ਅਤੇ ਗੌਰੀ ਸ਼ੰਕਰ ਭਾਈਵਾਲੀ ਤੋਂ ਸੇਵਾਮੁਕਤ ਹੋ ਗਿਆ ਸੀ ਅਤੇ ਉਸਦੀ ਪਤਨੀ ਸ਼੍ਰੀਮਤੀ ਸ਼ਕੁੰਤਲਾ 'ਉਸਦੀ ਜਗ੍ਹਾ' ਭਾਈਵਾਲੀ ਵਿੱਚ ਸ਼ਾਮਲ ਹੋ ਗਈ ਸੀ ਅਤੇ ਉਸਦਾ ਨਾਬਾਲਗ ਪੁੱਤਰ ਰਵੀ ਅਗਰਵਾਲ ਆਪਣੇ ਪਿਤਾ ਦੀ ਸਰਪ੍ਰਸਤੀ ਹੇਠ ਅਤੇ ਸੁਧੀਰ ਕੁਮਾਰ ਅਗਰਵਾਲ ਆਪਣੀ ਗੋਦ ਲੈਣ ਵਾਲੀ ਮਾਂ ਦੀ ਸਰਪ੍ਰਸਤੀ ਹੇਠ, ਮੌਜੂਦਾ ਅਸੈਸੀ ਨੂੰ ਭਾਰਤੀ ਭਾਈਵਾਲੀ ਐਕਟ ਦੀ ਧਾਰਾ 30 ਦੇ ਤਹਿਤ ਪ੍ਰਦਾਨ ਕੀਤੇ ਗਏ ਅਧਿਕਾਰਾਂ ਅਤੇ ਦੇਣਦਾਰੀਆਂ ਦੇ ਨਾਲ ਭਾਈਵਾਲੀ ਦੇ ਲਾਭਾਂ ਲਈ ਸਵੀਕਾਰ ਕੀਤਾ ਗਿਆ ਸੀ। ਡੀਡ ਵਿੱਚ ਅੱਗੇ ਕਿਹਾ ਗਿਆ ਸੀ ਕਿ ਉਪਰੋਕਤ ਤਬਦੀਲੀਆਂ ਦੇ ਕਾਰਨ ਭਾਈਵਾਲੀ ਦੇ ਨਵੇਂ ਡੀਡ ਨੂੰ ਲਾਗੂ ਕਰਨਾ ਅਤੇ ਸ਼ਰਤਾਂ ਨਿਰਧਾਰਤ ਕਰਨਾ ਜ਼ਰੂਰੀ ਹੋ ਗਿਆ ਸੀ। ਧਾਰਾ (2) ਅਤੇ (7), ਹੋਰ ਗੱਲਾਂ ਦੇ ਨਾਲ, ਪ੍ਰਦਾਨ ਕੀਤੀ ਗਈ ਹੈ:

(7) ਕਿ ਸਾਂਝੇਦਾਰੀ ਕਿਸੇ ਸਾਂਝੇਦਾਰ ਦੀ ਮੌਤ ਤੇ ਖਤਮ ਨਹੀਂ ਹੋਵੇਗੀ। ਮੌਤ ਦੇ ਮਗਰੋਂ ਉਸ ਦੇ ਕਾਨੂੰਨੀ ਨੁਮਾਇੰਦੇ ਉਸ ਦੀ ਥਾਂ ਸਾਂਝੇਦਾਰ ਵਜੋਂ ਜਾਰੀ ਰਹਿਣਗੇ।

1962-63 ਦੇ ਮੁਲਾਂਕਣ ਸਾਲ ਲਈ, ਆਮਦਨ ਕਰ ਅਧਿਕਾਰੀ ਨੇ ਮੁਲਾਂਕਣ ਐਕਟ, 1961 ਬਣਾਉਂਦੇ ਹੋਏ, ਮੁਲਾਂਕਣ ਵਿੱਚ ਸੈਕਸ਼ਨ 66 ਦੇ ਬੋਨਸ ਨੂੰ ਕਾਨਪੁਰ ਵਿੱਚ ਸ਼ਾਮਲ ਕੀਤਾ। ਮੁਲਾਂਕਣ ਟੂਲ ਆਮਦਨ ਨੂੰ ਦੇਖਿਆ ਜਿਵੇਂ ਕਿ ਘਰ ਤੋਂ ਇਲਾਵਾ ਘੱਟ ਗਿਣਤੀ ਵਾਲੇ ਬੱਚੇ ਦੁਆਰਾ ਕਮਾਈ ਗਈ ਦਿਲਚਸਪੀ ਨੇ ਸਾਂਝੇਦਾਰੀ ਦੇ ਲਾਭਾਂ ਵਿੱਚ ਹਿੱਸੇਦਾਰੀ ਦੇ ਲਾਭਾਂ ਵਿੱਚ ਇੱਕ ਹਿੱਸਾ, ਮੌਤ ਦੇ ਨਾਲ-ਨਾਲ ਘੱਟ ਗਿਣਤੀ ਦੇ ਪੁੱਤਰ ਨੇ ਅਫਸਰਸ਼ਾਹੀ ਦੇ ਹਿੱਸੇ ਤੋਂ ਅਣਗਿਣਤ ਨੁਕਸਾਨ ਦਾ ਸਾਹਮਣਾ ਕੀਤਾ, ਜੋ ਕਿ ਇਰਾ ਸ਼ੰਕਰ ਗੌੜ ਵਿੱਚ ਇੱਕ ਫਰਮ ਦੇ ਹਿੱਸੇ ਵਜੋਂ ਸੀ। ਸ਼ੰਕਰ ਰੈਂਸ ਨੇ ਉਸ ਦੇ ਪਹਿਲਾਂ ਦੇ ਮਲਕੀਅਤ ਦੇ ਸਹਿਯੋਗੀ ਦੇ ਰੂਪ ਵਿੱਚ ਇੱਕ ਸਾਂਝੇਦਾਰੀ ਲੀਜ਼ 'ਤੇ ਕਬਜ਼ਾ ਕੀਤਾ ਸੀ। ਟ੍ਰਿਬਿਊਨਲ ਨੇ ਅਪੀਲੀ ਅਪੀਲ ਲਈ ਬਿਆਨ ਵਿੱਚ ਕਿਹਾ ਹੈ ਕਿ ਇਹ ਬਿਆਨ ਅਪੀਲੀ ਸਹਾਇਕ ਕਮਿਸ਼ਨਰ ਦੁਆਰਾ ਸਖ਼ਤੀ ਨਾਲ ਸਹੀ ਨਹੀਂ ਸੀ ਅਤੇ ਆਮਦਨ ਕਰ ਅਧਿਕਾਰੀ ਦੁਆਰਾ ਪਾਸ ਕੀਤੇ ਰਿਕਾਰਡਾਂ ਦੇ ਅਨੁਸਾਰ ਆਮਦਨ ਕਰ ਐਕਟ, 1962 ਦੀ ਧਾਰਾ 35 ਦੇ ਤਹਿਤ 1958-59, 1959-60 ਅਤੇ 1960-61 ਦੇ ਮੁਲਾਂਕਣ ਸਾਲਾਂ ਲਈ, ਸਪੈਕੂਲੇਸ਼ਨ ਘਾਟੇ ਮਿਸ਼ਰਤ ਸ਼੍ਰੀਮਤੀ ਐਚ ਸ਼ੰਕਰ ਗੌੜ, ਸ਼ੰਕਰ ਦੀਆਂ ਫਿਲਮਾਂ ਤੋਂ ਸਨ। ਬੀਏ ਮਿਲਾਂ ਦੇ ਨਾਲ-ਨਾਲ ਫਰਮ ਦੁਆਰਾ ਕੀਤੇ ਗਏ ਲਾਭ ਵਰਗੇ ਪਿਛਲੇ ਸਾਲਾਂ ਦੇ ਅਪੀਲ ਦੇ ਸਾਲ ਵਿੱਚ, ਮੁਲਾਂਕਣ ਸਾਲ ਦੇ ਅਧੀਨ ਸਪੈਕੂਲੇਸ਼ਨ ਲਾਭਾਂ ਵਿੱਚ ਇੱਕ ਹਿੱਸਾ ਲਈ ਮੁਲਾਂਕਣਕਰਤਾ ਨੂੰ ਅਧਿਕਾਰ ਦਿੱਤਾ ਗਿਆ ਸੀ ਅਤੇ ਇਹ ਦਾਅਵਾ ਕੀਤਾ ਗਿਆ ਸੀ ਕਿ ਪਿਛਲੇ ਸਾਲਾਂ ਦੇ ਸਪੈਕੂਲੇਸ਼ਨ ਘਾਟੇ ਨੂੰ ਮੁਲਾਂਕਣ ਸਾਲ ਦੇ ਅਧੀਨ ਸਪੈਕੂਲੇਸ਼ਨ ਲਾਭਾਂ ਦੇ ਵਿਰੁੱਧ ਰਾਖਵੇਂਕਰਨ ਦੀ ਆਗਿਆ ਦਿੱਤੀ ਜਾਣੀ ਚਾਹੀਦੀ ਹੈ। ਇਹ ਇਜਾਜ਼ਤ ਨਹੀਂ ਦਿੱਤੀ ਗਈ ਸੀ। ਇਸ ਦੇ ਖਰੜੇ ਤੋਂ ਇੱਕ ਅਪੀਲ ਸੀ ਜੋ ਕਿ ਅਪੀਲੀ ਸਹਾਇਕ ਕਮਿਸ਼ਨਰ ਸੀ।
ਅਪੀਲੀ ਸਹਾਇਕ ਕਮਿਸ਼ਨਰ ਦੇ ਸਾਹਮਣੇ ਮੁਲਾਂਕਣਕਰਤਾ ਦੀ ਤਰਫੋਂ ਚੁੱਕੀ ਗਈ ਦੂਜੀ ਦਲੀਲ, ਜੋ ਕਿ ਮੌਜੂਦਾ ਉਦੇਸ਼ ਲਈ ਪ੍ਰਸੰਗਿਕ ਹੈ, ਇਹ ਸੀ ਕਿ ਮੁਲਾਂਕਣਕਰਤਾ ਨੂੰ ਪਿਛਲੇ ਸਾਲਾਂ ਦੇ ਸਪੈਕੂਲੇਸ਼ਨ ਘਾਟੇ ਨੂੰ ਆਪਣੀ ਆਮਦਨ ਦੇ ਵਿਰੁੱਧ ਰਾਖਵੇਂਕਰਨ ਦੀ ਆਗਿਆ ਦਿੱਤੀ ਜਾਣੀ ਚਾਹੀਦੀ ਹੈ। ਆਮਦਨ ਕਰ ਐਕਟ, 1961 (ਹੇਠਾਂ ਇਸਨੂੰ ਐਕਟ ਕਿਹਾ ਜਾਵੇਗਾ) ਦੀ ਧਾਰਾ 78(2) ਦੇ ਪ੍ਰਾਵਧਾਨਾਂ ਅਨੁਸਾਰ ਅਪੀਲ ਹੇਠ ਮੁਲਾਂਕਣ ਸਾਲ ਲਈ ਫਰਮ ਤੋਂ ਅੰਦਾਜ਼ਾ ਲਾਭਾਂ ਦਾ ਹਿੱਸਾ। ਐਕਟ ਦੀ ਧਾਰਾ 78 ਇਸ ਤਰ੍ਹਾਂ ਹੈ:
"78. ਫਰਮ ਦੇ ਸੰਵਿਧਾਨ ਵਿੱਚ ਪਰਿਵਰਤਨ ਜਾਂ ਸਫਲਤਾ 'ਤੇ ਨੁਕਸਾਨਾਂ ਦੀ ਅਗਲੀ ਤਾਰੀਖ ਅਤੇ ਸੈੱਟ ਆਫ਼। - (1) ਜੇਕਰ ਕਿਸੇ ਫਰਮ ਦੇ ਸੰਵਿਧਾਨ ਵਿੱਚ ਕੋਈ ਪਰਿਵਰਤਨ ਹੋਇਆ ਹੈ, ਤਾਂ ਇਸ ਅਧਿਆਏ ਵਿੱਚ ਕੁਝ ਵੀ ਫਰਮ ਨੂੰ ਇਹ ਹੱਕ ਨਹੀਂ ਦਿੰਦਾ ਕਿ ਰਿਟਾਇਰਡ ਜਾਂ ਮਰੇ ਹੋਏ ਸਾਥੀ ਦੇ ਹਿੱਸੇ ਦੇ ਅਨੁਪਾਤ ਵਿੱਚ ਨੁਕਸਾਨ ਨੂੰ ਅਗਲੇ ਸਾਲ ਲਈ ਲਿਆਇਆ ਜਾਵੇ ਅਤੇ ਸੈੱਟ ਆਫ਼ ਕੀਤਾ ਜਾਵੇ, ਜਿਵੇਂ ਕਿ ਧਾਰਾ 67 ਦੇ ਅਨੁਸਾਰ ਗਿਣਿਆ ਜਾਂਦਾ ਹੈ, ਜੋ ਕਿ ਮਰੇ ਹੋਏ ਸਾਲ ਦੇ ਫਰਮ ਦੇ ਲਾਭਾਂ ਦੇ ਉਸਦੇ ਹਿੱਸੇ ਤੋਂ ਵੱਧ ਹੈ, ਜੇ ਕੋਈ ਹੋਵੇ, ਜਾਂ ਕਿਸੇ ਵੀ ਸਾਥੀ ਨੂੰ ਉਸ ਨੁਕਸਾਨ ਦੇ ਕਿਸੇ ਵੀ ਹਿੱਸੇ ਦਾ ਲਾਭ ਦੇਣ ਦਾ ਹੱਕ ਦਿੰਦਾ ਹੈ ਜੋ ਕਿ ਧਾਰਾ 67 ਦੇ ਅਨੁਸਾਰ ਉਸ ਨੂੰ ਅਲਾਟ ਨਹੀਂ ਕੀਤਾ ਜਾ ਸਕਦਾ।
(2) ਜੇ ਕੋਈ ਵਿਅਕਤੀ ਕਿਸੇ ਕਾਰੋਬਾਰ ਜਾਂ ਪੇਸ਼ੇ ਨੂੰ ਕਰ ਰਿਹਾ ਹੈ ਅਤੇ ਉਸ ਵਿਅਕਤੀ ਨੂੰ ਕਿਸੇ ਹੋਰ ਵਿਅਕਤੀ ਨੇ ਵਾਰਸ ਦੇ ਤੌਰ 'ਤੇ ਨਹੀਂ ਸਗੋਂ ਕਿਸੇ ਹੋਰ ਤਰੀਕੇ ਨਾਲ ਸਫਲ ਕੀਤਾ ਹੈ, ਤਾਂ ਇਸ ਅਧਿਆਏ ਵਿੱਚ ਕੁਝ ਵੀ ਕਿਸੇ ਹੋਰ ਵਿਅਕਤੀ ਨੂੰ ਇਹ ਹੱਕ ਨਹੀਂ ਦਿੰਦਾ ਕਿ ਉਹ ਨੁਕਸਾਨ ਨੂੰ ਅਗਲੇ ਸਾਲ ਲਈ ਲਿਆ ਕੇ ਆਪਣੀ ਆਮਦਨ ਦੇ ਵਿਰੁੱਧ ਸੈੱਟ ਆਫ਼ ਕਰੇ।"

The other clauses were the usual partnership clauses not very material for the present controversy.
The next deed of partnership was dated 12th August, 1959 which was executed by the present ,assessee and the wife of L. Gauri Shankar, the second partner in the original deed and also C Shri Harl Shankar, the first partner• This deed was executed on 12th August 1959 while Prem Shankar had died on 24th July, 1959. All the executants to this deed were described as residents of the same old address as in the first mentioned deed indicating thereby that they came from a joint Hindu family residing at the same place. It recorded the death of Prem Shankar and he died leaving the present assessee as widow who had adopted one Sudhir D Kumar Agarwal s/o L. Gauri Shankar, the second partner in the original partnership firm as a son on 27th July, 1959 i.e. three days after the death of Prem Shankar. The present assessee had joined the partnership and Gauri Shankar retired from the partnership and his wife Smt. Shakuntala had joined the partnership 'in his place' and his minor son Ravi Agarwal under E the Guardianship of his father and Sudhir Kumar Agarwal under the Guardianship of his adoptive mother, the present assessee, had been admitted to the benefits of partnership with such rights and liabilities as were provided under Section 30 of the Indian Partnership Act. The deed further recited that due to the above changes it had become necessary for fresh deed of partnership to F be executed and set out the terms. Clause (2) and (7), inter alia, provided:
