Frequently asked questions

When must FC-GPR be filed?
Within 30 days of allotting shares to the non-resident investor.
When is FC-TRS required?
On a transfer of shares between a resident and a non-resident, filed within 60 days. It is commonly missed on secondary transfers and founder buy-ins.
What is the FLA return?
An annual return of foreign liabilities and assets, filed by 15 July each year by any Indian company that has received FDI or invested overseas. It is separate from your income tax and ROC filings.
We missed filings from earlier years — is that fatal?
No. Late filings are generally regularised on payment of a Late Submission Fee. It is far better to fix it now than to have a buyer find it during diligence.
